These Terms of Service ("Terms") constitute a legally binding agreement between Shanty BB, its affiliates, successors, assigns, and authorized service providers (collectively, "Shanty BB," "we," "us," or "our") and every individual or entity that accesses or uses the Shanty BB website, mobile application, or any related products, services, software, or features (collectively, the "Platform"). By creating an account, browsing Listings, communicating with another User, publishing a Listing, requesting or accepting a booking, making a payment, or otherwise accessing or using the Platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and all documents incorporated by reference. If you do not agree to these Terms, you must not access or use the Platform. 1.2 Documents Incorporated by Reference These Terms incorporate by reference, and should be read together with, the following documents, each of which forms part of this Agreement: Privacy Policy Payment Terms Cancellation Policy Community Standards Host Standards Safety Guidelines Any additional policies, disclosures, notices, or guidelines published by Shanty BB from time to time If a conflict exists between these Terms and another published policy, these Terms will control unless the applicable policy expressly states otherwise. 1.3 Marketplace Purpose Shanty BB is an online technology marketplace designed to connect independent Hosts offering outdoor recreational properties, equipment, and experiences with independent Renters seeking to reserve or use those offerings. The Platform may facilitate Listings, communications, reservations, payment processing, identity verification services, reviews, and other marketplace tools. Shanty BB is not the owner, operator, lessor, property manager, outfitter, guide, insurer, employer, partner, or agent of any Listing, Property, Equipment, Host, or Renter unless expressly identified in writing for a specific service. All rental agreements are entered directly between the Host and the Renter. 1.4 Eligibility To use the Platform, you represent and warrant that you: are at least eighteen (18) years of age or the age of majority in your jurisdiction, whichever is greater; possess the legal capacity to enter into binding contracts; are not prohibited from using the Platform under any applicable law; will provide accurate, complete, and current information; will comply with these Terms and all applicable federal, state, provincial, local, tribal, and international laws. If you are using the Platform on behalf of a business, organization, partnership, trust, or other legal entity, you represent and warrant that you possess the authority to bind that entity to these Terms. 1.5 Electronic Acceptance You acknowledge and agree that checking an acceptance box, clicking an "I Agree," "Create Account," "Book Now," "List Property," "Submit," or similar button, electronically signing any document, or otherwise using the Platform constitutes your electronic acceptance of these Terms. You agree that your electronic acceptance has the same legal force and effect as a handwritten signature to the fullest extent permitted by applicable law. 1.6 Modifications to these Terms Shanty BB may revise these Terms from time to time to reflect changes in applicable law, marketplace operations, technology, security practices, payment systems, or Platform features. When material changes are made, Shanty BB will provide notice by one or more of the following methods: posting updated Terms on the Platform; displaying a notice upon login; sending an email to the address associated with your account; or using another reasonable method of electronic communication. Unless otherwise required by applicable law, revised Terms become effective on the date specified in the notice. Your continued use of the Platform after the effective date constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, your sole remedy is to discontinue use of the Platform and close your account. 1.7 Severable Acceptance If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect to the fullest extent permitted by law. No invalid provision shall affect the enforceability of any other provision. 1.8 Questions Regarding these Terms Questions regarding these Terms may be submitted using the contact information provided in the Notices section of these Terms. 2. Definitions For purposes of these Terms, the following capitalized terms have the meanings set forth below. Capitalized terms not defined elsewhere in these Terms shall have the meanings assigned in this Section. 2.1 "Account" An "Account" means a registered user profile created on the Platform that permits a User to access certain features, communicate with other Users, create Listings, make Bookings, receive payments, or otherwise use the Services. 2.2 "Booking" A "Booking" means a reservation request that has been accepted by a Host and confirmed through the Platform, whether for a Property, Equipment, Access Rights, or other Listing. A Booking creates a contractual relationship solely between the Host and the Renter, subject to these Terms and any additional conditions disclosed in the Listing. 2.3 "Business Day" "Business Day" means any day other than Saturday, Sunday, or a federal holiday observed in the United States. 2.4 "Cancellation Policy" "Cancellation Policy" means the refund and cancellation rules selected by a Host and made available through the Platform, together with any mandatory requirements established by Shanty BB. 2.5 "Content" "Content" means all text, photographs, videos, graphics, logos, maps, reviews, ratings, descriptions, pricing information, communications, documents, software, code, trademarks, and other information displayed, uploaded, transmitted, or made available through the Platform. 2.5A "Applicable Law" "Applicable Law" means all federal, state, provincial, territorial, tribal, municipal, local, and international constitutions, statutes, regulations, ordinances, administrative rules, judicial decisions, governmental orders, permits, licenses, and other legally binding requirements applicable to a User, Listing, Booking, Property, Equipment, transaction, or the Platform. 2.5B "Booking Fees" "Booking Fees" means all charges associated with a Booking, including rental amounts, Platform Service Fees, processing fees, taxes, deposits, optional services, damage charges, cleaning fees, cancellation charges, and any other amounts disclosed before confirmation of a Booking. 2.5C "Force Majeure Event" "Force Majeure Event" means an event beyond the reasonable control of the affected party, including but not limited to acts of God, severe weather, floods, fires, hurricanes, tornadoes, earthquakes, pandemics, epidemics, war, terrorism, civil unrest, labor disputes, governmental actions, utility failures, internet outages, cyberattacks, supply chain disruptions, transportation interruptions, or similar events that materially impair performance. 2.5D "Intellectual Property Rights" "Intellectual Property Rights" means all present and future rights recognized under Applicable Law relating to copyrights, trademarks, service marks, trade names, trade dress, patents, trade secrets, database rights, domain names, moral rights, publicity rights, know-how, proprietary information, software, algorithms, source code, inventions, and any other proprietary or intellectual property rights. 2.5E "Platform Services" "Platform Services" means all technology, software, applications, websites, mobile applications, APIs, messaging systems, booking systems, payment facilitation services, search tools, verification services, customer support, ratings and reviews, fraud prevention tools, analytics, and all other services made available by Shanty BB through the Platform. 2.5F "Released Parties" "Released Parties" means Shanty BB, its parent companies, subsidiaries, affiliates, successors, assigns, owners, members, managers, officers, directors, employees, contractors, agents, licensors, service providers, payment processors, insurers (if any), and any other persons or entities acting on Shanty BB's behalf. 2.5G "Service Fees" "Service Fees" means any fees, commissions, subscription charges, processing fees, convenience fees, administrative fees, or other amounts charged by Shanty BB for use of the Platform or Platform Services. 2.6 "Equipment" "Equipment" means any personal property offered through the Platform, including but not limited to: Ice fishing shanties Portable shelters Hunting blinds Tree stands Boats Docks ATVs UTVs Snowmobiles Trailers Fishing equipment Hunting equipment Outdoor recreation equipment Any other equipment described in a Listing 2.7 "Guest" "Guest" means any individual accompanying a Renter onto a Property or using Equipment, regardless of whether that individual maintains a Shanty BB Account. The Renter is responsible for ensuring all Guests comply with these Terms and any Listing-specific rules. 2.8 "Host" "Host" means any individual or legal entity that creates or controls a Listing or otherwise offers a Property, Equipment, recreational opportunity, or related service through the Platform. Hosts act solely on their own behalf and not as employees, agents, partners, representatives, franchisees, or joint venturers of Shanty BB. 2.9 "Host Rules" "Host Rules" means any lawful conditions, restrictions, occupancy limits, safety requirements, operational procedures, or property-specific requirements disclosed by a Host within a Listing or otherwise communicated prior to or during a Booking. 2.10 "Listing" A "Listing" means any advertisement, posting, description, offer, or availability published through the Platform offering: Property Equipment Recreational access Outdoor experiences Camping Fishing Hunting ATV access Snowmobile access Parking Storage Launch access Guides or related lawful outdoor services Any other lawful recreational offering approved by Shanty BB 2.11 "Loss" "Loss" means any claim, demand, action, lawsuit, judgment, settlement, fine, penalty, assessment, tax, damage, injury, death, liability, obligation, cost, expense, or attorney's fees arising directly or indirectly from an event. 2.12 "Platform" "Platform" means the Shanty BB website, mobile applications, software, APIs, payment systems, communication tools, messaging systems, databases, and all related technology made available by Shanty BB. 2.13 "Property" "Property" means any real property or location offered through the Platform, including but not limited to: Ice fishing locations Ice fishing shanties Cabins Camps Lodges Hunting camps Hunting leases Food plots Private land Trail access Boat slips Campsites Parking areas Waterfront access Storage areas Recreational land Any other lawful real property listed through the Platform 2.14 "Renter" "Renter" means any individual or legal entity requesting, reserving, paying for, or using a Listing through the Platform. The terms "Guest" and "Renter" are not synonymous. A Renter is the individual or entity legally responsible for the Booking, while Guests participate under the Renter's responsibility unless otherwise agreed in writing. 2.15 "Services" "Services" means the online marketplace services provided by Shanty BB, including but not limited to: Listing publication Booking facilitation Payment processing facilitation Messaging tools Search functionality Identity verification services Ratings and reviews Customer support Fraud prevention measures Platform administration Any additional technology services offered through the Platform For clarity, the Services do not include the rental, operation, inspection, management, maintenance, or supervision of any Property or Equipment. 2.16 "Shanty BB" "Shanty BB," "we," "our," or "us" means the legal entity operating the Platform, together with its parents, subsidiaries, affiliates, successors, assigns, officers, directors, employees, contractors, licensors, and authorized service providers, unless the context clearly indicates otherwise. Once formed, this definition should be updated to reflect the exact legal name of the operating entity (for example, Shanty BB, LLC). 2.17 "User" "User" means any person or legal entity that accesses, browses, visits, creates an Account, communicates through, or otherwise uses the Platform, including Hosts, Renters, Guests, and visitors. 2.18 "User Content" "User Content" means any Content submitted, uploaded, transmitted, published, or otherwise made available by a User, including Listings, photographs, videos, reviews, messages, profile information, descriptions, pricing, calendars, and communications. 2.19 Interpretation Unless the context clearly requires otherwise: Singular terms include the plural, and plural terms include the singular. Words importing one gender include all genders. References to "including" or "includes" mean "including, without limitation." Section headings are for convenience only and do not affect interpretation. References to laws include all amendments, replacements, and successor legislation. References to "days" mean calendar days unless expressly stated otherwise. References to a person include individuals, corporations, limited liability companies, partnerships, trusts, governmental entities, and other legal organizations. 3. Marketplace Status 3.1 Shanty BB as a Technology Marketplace Shanty BB is an online technology marketplace that enables independent Hosts and independent Renters to discover one another, communicate, and enter into rental or recreational access agreements for outdoor properties, equipment, and related experiences. The Platform provides technology, software, communication tools, booking functionality, payment facilitation, and other marketplace services designed to connect Users. Except as expressly stated in these Terms, Shanty BB does not participate in the underlying rental transaction. 3.2 Independent Transactions All Bookings arranged through the Platform are entered into directly between the Host and the Renter. Shanty BB is not a party to any rental agreement, lease, license, access agreement, or other contract entered into between Users. Each Host is solely responsible for the Listings they publish and the obligations they undertake. Each Renter is solely responsible for the Bookings they make and their compliance with these Terms, applicable law, and any applicable Host Rules. 3.2A No Agency, Brokerage, or Fiduciary Relationship Shanty BB is solely a provider of online technology and marketplace services. Unless expressly agreed in a separate written agreement signed by Shanty BB, Shanty BB is not, and shall not be deemed to be: the owner of any Listing; the seller or lessor of any Property or Equipment; the operator of any recreational activity; the property manager; the booking agent; the rental agency; the real estate broker; the travel agency; the tour operator; the outfitter; the guide; the hunting guide; the fishing guide; the charter operator; the campground operator; the marina operator; the snowmobile operator; the ATV operator; the employer of any User; the franchisor of any Host; the partner or joint venturer of any User; the fiduciary of any User; the bailee of any Property or Equipment; the guarantor of any Listing; the insurer of any User, Property, Equipment, or Booking; or the representative or agent of any Host or Renter for any purpose. Nothing contained in these Terms shall be interpreted as creating any partnership, joint venture, employment relationship, agency relationship, franchise relationship, brokerage relationship, fiduciary relationship, or similar legal relationship between Shanty BB and any User. All decisions relating to Listings, pricing, availability, maintenance, inspections, repairs, safety, legal compliance, taxes, insurance, and the performance of Bookings remain solely the responsibility of the applicable Host or Renter. 3.3 No Ownership or Control of Listings Unless expressly identified otherwise in writing, Shanty BB does not own, lease, rent, possess, control, manage, maintain, repair, inspect, supervise, or operate any Property, Equipment, or Listing offered through the Platform. Listings are created, maintained, and controlled exclusively by the Host. Information contained in a Listing is supplied by the Host, and Shanty BB does not independently verify the completeness or accuracy of every Listing. 3.4 Marketplace Services Shanty BB may provide marketplace services including, but not limited to: Publishing Listings; Search and filtering tools; Reservation and booking functionality; Messaging between Users; Payment facilitation through third-party payment providers; Ratings and reviews; Customer support; Fraud prevention tools; Identity verification services; Calendar management; and Other technology services introduced from time to time. The availability of these services does not make Shanty BB the owner, operator, property manager, lessor, or rental provider of any Listing. 3.5 No Endorsement of Listings or Users The appearance of a Listing or User on the Platform does not constitute an endorsement, certification, recommendation, guarantee, or warranty by Shanty BB. Any ratings, reviews, badges, search rankings, featured placements, or verification indicators are intended solely to assist Users in evaluating Listings and do not represent a guarantee of quality, safety, legality, ownership, availability, or performance. Users are solely responsible for conducting their own due diligence before entering into any transaction. applicable Host or Renter. 3.6 No Representation or Warranty Regarding Listings Shanty BB does not investigate, inspect, test, certify, supervise, maintain, repair, manage, monitor, or guarantee any Listing, Property, Equipment, Host, Renter, Guest, or recreational activity. Shanty BB makes no representation or warranty regarding: ownership of any Listing; legal authority of any Host; identity of any User; safety of any Property or Equipment; structural integrity of any building or structure; habitability; fitness for a particular purpose; merchantability; legality of any Listing; compliance with Applicable Law; accuracy or completeness of Listing information; availability of utilities; internet or cellular service; GPS accuracy; navigational information; weather conditions; ice thickness; frozen water safety; snow conditions; trail conditions; water levels; wildlife activity; hunting or fishing success; emergency response times; accessibility; maintenance; cleanliness; suitability for children; suitability for pets; suitability for any intended recreational activity; or any other condition affecting a Booking. Users are solely responsible for independently evaluating every Listing before, during, and after a Booking. 3.7 Third-Party Service Providers Shanty BB may utilize independent third-party providers to support operation of the Platform, including payment processors, cloud hosting providers, mapping services, identity verification providers, communication services, analytics providers, fraud prevention services, and customer support tools. Such providers operate under their own terms and privacy policies. Shanty BB is not responsible for the acts, omissions, products, or services of independent third parties except as required by applicable law. 3.8 Platform Availability While Shanty BB strives to maintain reliable access to the Platform, uninterrupted availability cannot be guaranteed. The Platform may be temporarily unavailable due to maintenance, software updates, internet outages, security events, force majeure events, third-party service interruptions, or other circumstances beyond Shanty BB's reasonable control. Shanty BB shall not be liable for losses resulting solely from temporary interruptions in Platform availability, except where liability cannot be limited under applicable law. 3.9 Modifications to the Platform Shanty BB reserves the right to modify, suspend, discontinue, or improve any aspect of the Platform at any time, including features, functionality, payment methods, marketplace tools, eligibility requirements, or available services. Unless otherwise required by law, Shanty BB is under no obligation to continue offering any specific feature or functionality. 3.10 User Acknowledgement By using the Platform, Users acknowledge and agree that: Shanty BB is a technology marketplace and not a rental provider. Rental agreements are entered into solely between the Host and the Renter. Shanty BB does not own or control the vast majority of Listings. Users are responsible for exercising reasonable judgment and conducting their own due diligence before entering into a Booking. Outdoor recreation activities inherently involve risks that cannot be eliminated through the operation of an online marketplace. 3.11 Independent Business Relationship Each Host operates an independent business or personal rental activity and exercises exclusive control over their Listings, pricing, scheduling, policies, maintenance, inspections, repairs, staffing, taxes, insurance, permits, licenses, and legal compliance. Each Renter independently determines whether to enter into a Booking and assumes responsibility for evaluating the suitability of the Listing for their intended use. Shanty BB provides only the technology infrastructure through which independent Users may locate one another and voluntarily enter into transactions. Nothing in these Terms shall be construed as creating a legal relationship between Shanty BB and any User other than that of an independent technology service provider and Platform operator. 4. Accounts 4.1 Account Registration To access certain features of the Platform, including creating Listings, requesting Bookings, communicating with other Users, receiving payouts, or making payments, you must create a Shanty BB Account. You agree to provide complete, accurate, and current information during the registration process and to keep your Account information updated at all times. Shanty BB reserves the right to deny the creation of any Account or to require additional information as a condition of continued use of the Platform. 4.2 Eligibility By creating an Account, you represent and warrant that you: are at least eighteen (18) years of age or the age of majority in your jurisdiction, whichever is greater; have the legal capacity to enter into binding agreements; are not prohibited from using the Platform under any applicable law; will comply with these Terms and all applicable laws and regulations; and are creating the Account for lawful purposes. If you create an Account on behalf of a business or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. 4.3 One Account Per User Unless expressly authorized by Shanty BB in writing, each individual or legal entity may maintain only one primary Account. Creating duplicate, fraudulent, or misleading Accounts may result in suspension or permanent termination of all associated Accounts. 4.4 Account Information You are responsible for ensuring that all information associated with your Account remains accurate and current, including: Your legal name; Contact information; Email address; Telephone number; Mailing address, when requested; Payment information; Tax information, where applicable; and Any other information reasonably requested by Shanty BB. Failure to maintain accurate information may result in delays, payment holds, Booking cancellations, or suspension of your Account. 4.5 Account Security You are solely responsible for maintaining the confidentiality of your login credentials, including your username, password, authentication codes, and any other security information associated with your Account. You agree to: choose a strong password; maintain appropriate security over your devices; promptly update compromised credentials; notify Shanty BB immediately of any suspected unauthorized access or security breach; and log out of shared devices after using the Platform. You are responsible for all activity occurring under your Account unless you promptly notify Shanty BB of unauthorized use and cooperate in any resulting investigation. 4.6 Accurate Information You agree not to: provide false or misleading information; impersonate another person or business; use another person's identity; create an Account using stolen information; provide fraudulent payment information; or otherwise misrepresent your identity or authority. Providing false information constitutes a material breach of these Terms. 4.7 Business Accounts Businesses, partnerships, corporations, limited liability companies, trusts, and other legal entities may create Accounts through an authorized representative. The authorized representative warrants that they possess full authority to bind the organization and to act on its behalf within the Platform. The organization remains responsible for all activity occurring under its Account. 4.8 Communication Preferences By creating an Account, you consent to receive electronic communications from Shanty BB relating to your use of the Platform, including: Booking confirmations; Payment notifications; Security alerts; Policy updates; Transaction receipts; Customer support communications; Legal notices; and Other operational communications necessary to administer your Account. You may manage certain communication preferences within your Account settings; however, you may not opt out of communications that are required for security, legal compliance, or operation of the Platform. 4.9 Account Suspension Shanty BB may suspend, restrict, or temporarily limit access to an Account if it reasonably believes that: these Terms have been violated; fraudulent activity has occurred or is suspected; identity verification is incomplete; payment disputes exist; the security of the Platform may be compromised; required information has not been provided; or suspension is reasonably necessary to protect Users, Shanty BB, or the integrity of the Platform. Where reasonably practicable, Shanty BB may notify the User of the reason for the suspension, unless doing so could compromise an investigation, violate applicable law, or create a security risk. 4.10 Account Termination by User You may close your Account at any time through the Platform or by contacting Shanty BB Customer Support. Closing an Account does not relieve you of obligations arising from: completed Bookings; pending Bookings; outstanding payments; unresolved disputes; taxes; legal claims; or any obligations that survive termination under these Terms. 4.11 Account Termination by Shanty BB Shanty BB reserves the right to suspend or terminate an Account at its discretion where permitted by applicable law, including when: these Terms are materially violated; fraudulent or deceptive conduct is suspected; illegal activity is alleged or confirmed; the User poses a risk to other Users or the Platform; required information cannot be verified; repeated complaints indicate abuse of the Platform; or continued access may expose Shanty BB or its Users to legal, financial, or operational risk. Unless required by law, Shanty BB is not obligated to provide advance notice before terminating an Account. 4.12 Effect of Suspension or Termination Suspension or termination of an Account does not automatically cancel Bookings, release payment obligations, waive legal claims, or extinguish rights that accrued prior to the suspension or termination. Shanty BB may take reasonable steps to complete or unwind pending transactions in accordance with these Terms, applicable law, and the rights of affected Users. 4.13 Survival The provisions of this Section shall survive the suspension or termination of an Account to the extent necessary to enforce the rights and obligations of the parties. 5. Identity Verification 5.1 Purpose of Identity Verification To promote trust, reduce fraud, enhance marketplace integrity, and comply with applicable legal obligations, Shanty BB may require or offer identity verification for some or all Users. Identity verification is intended to improve confidence in marketplace transactions but does not eliminate the risks associated with conducting business with other Users. Verification is one factor among many that Users should consider when deciding whether to enter into a transaction. 5.2 Verification Requirements Shanty BB may require a User to complete one or more identity verification procedures before accessing certain Platform features or completing a Booking. Verification methods may include, without limitation: Government-issued photo identification; Date of birth verification; Address verification; Email verification; Telephone verification; Payment method verification; Selfie or biometric comparison technology; Tax identification information, where applicable; Business registration documents; Ownership or authorization documentation; or Any other reasonable verification method deemed necessary by Shanty BB or its third-party service providers. Shanty BB reserves the right to modify verification requirements at any time. 5.3 Third-Party Verification Providers Shanty BB may utilize independent third-party providers to perform identity verification, fraud prevention, sanctions screening, payment verification, and related compliance services. By using the Platform, you authorize Shanty BB and its service providers to collect, process, verify, and store information necessary to complete these verification procedures in accordance with our Privacy Policy and applicable law. 5.4 User Cooperation Users agree to promptly provide accurate, complete, and current information requested during any verification process. Failure or refusal to provide requested information may result in: delayed Bookings; payment holds; temporary restrictions on Platform features; suspension of an Account; or denial or termination of access to the Platform. 5.5 Ongoing Verification Identity verification is not necessarily a one-time event. Shanty BB may request updated information or require Users to complete additional verification procedures at any time, including when: account information changes; suspicious activity is detected; fraud prevention measures require additional review; applicable laws or regulations change; payment processors require additional documentation; or Shanty BB reasonably determines that further verification is necessary to protect the Platform or its Users. 5.6 No Guarantee Identity verification does not constitute a representation, warranty, or guarantee by Shanty BB that any User: is truthful; is trustworthy; owns any listed Property or Equipment; possesses legal authority to enter into a transaction; will perform contractual obligations; will comply with applicable laws; is free from criminal history; is financially responsible; or poses no risk to other Users. A verified User may still engage in misconduct, provide inaccurate information, or otherwise violate these Terms. Users remain solely responsible for exercising independent judgment before entering into any transaction. 5.7 Fraud Prevention Shanty BB reserves the right to implement fraud prevention measures designed to protect the Platform and its Users. Such measures may include: automated fraud detection; transaction monitoring; duplicate account detection; payment risk analysis; sanctions screening; suspicious activity investigations; document review; and temporary transaction holds while investigations are pending. Shanty BB may cooperate with financial institutions, payment processors, law enforcement agencies, insurance providers, or governmental authorities where required or permitted by applicable law. 5.8 Refusal or Failure to Verify Shanty BB reserves the right to deny, suspend, restrict, or terminate access to the Platform if: a User fails to complete required verification; submitted information cannot be reasonably verified; fraudulent or misleading information is suspected; verification documents appear altered or invalid; a User refuses to cooperate with reasonable verification requests; or continued access would present an unacceptable risk to the Platform or its Users. Unless prohibited by law or necessary to preserve the integrity of an investigation, Shanty BB may notify the affected User of the reason for such action. 5.9 Privacy of Verification Information Verification information will be collected, processed, stored, and disclosed in accordance with the Shanty BB Privacy Policy and applicable law. Shanty BB will take reasonable measures to protect verification information but cannot guarantee that electronic systems are completely secure or immune from unauthorized access. 5.10 Reservation of Rights Shanty BB reserves the right to establish, modify, suspend, or discontinue any identity verification program, eligibility requirement, or verification standard at any time, subject to applicable law. No User acquires a right to remain verified or to continue using the Platform solely because verification was previously completed. 5.11 User Acknowledgement By using the Platform, you acknowledge and agree that: Identity verification is intended to reduce, but cannot eliminate, fraud and other risks. Verification does not constitute an endorsement or guarantee by Shanty BB. You remain responsible for exercising reasonable judgment and conducting your own due diligence before entering into any transaction. Shanty BB may require additional verification at any time as permitted by these Terms and applicable law. 6. Host Responsibilities 6.1 Host Authority and Eligibility By creating, publishing, or maintaining a Listing on the Platform, each Host represents and warrants that they possess the full legal authority to offer the applicable Property, Equipment, recreational access, or related services for rent, lease, license, or other lawful use. The Host further represents and warrants that: they own the Property or Equipment, or possess all rights, permissions, licenses, leases, easements, contractual authority, or other legal authorization necessary to offer the Listing; creating and honoring the Listing will not violate any contract, lease, mortgage, homeowners' association rule, conservation restriction, court order, governmental regulation, or Applicable Law; all information submitted to Shanty BB is truthful, complete, and current; and they will promptly notify Shanty BB if they no longer possess the authority to offer any Listing. Hosts remain solely responsible for ensuring that every Listing complies with Applicable Law before it is published or made available for Booking. 6.2 Accurate Listings and Required Information Hosts are solely responsible for the accuracy, completeness, legality, and ongoing maintenance of every Listing they publish. Each Listing shall accurately disclose, where applicable: the location of the Property; the type of Property, Equipment, or recreational opportunity offered; occupancy limits; amenities and utilities; included Equipment; pricing and applicable fees; Security Deposit requirements; availability; check-in and check-out procedures; access instructions; accessibility limitations; required licenses or permits; cancellation terms; restrictions on use; safety equipment provided; known material hazards; and any other information that a reasonable Renter would consider important when deciding whether to make or continue a Booking. Hosts shall promptly update Listings whenever any material information changes. Hosts shall not publish Listings containing false, misleading, deceptive, fraudulent, or materially incomplete information. 6.3 Lawful Listings Hosts may offer only Listings that are lawful under Applicable Law. Without limitation, Hosts shall not publish Listings that: promote illegal activity; infringe another person's rights; involve stolen Property or Equipment; require governmental authorization the Host does not possess; violate environmental, wildlife, land use, or conservation laws; misrepresent ownership or authority; circumvent applicable licensing requirements; or otherwise violate these Terms. Shanty BB reserves the right to suspend, remove, or reject any Listing that it reasonably believes violates this Section. 6.4 Condition of Property and Equipment Hosts are solely responsible for delivering every Property and all included Equipment in a reasonably safe, functional, and lawful condition consistent with its intended use. Prior to each Booking, Hosts should take reasonable steps to: inspect the Property and Equipment; identify known hazards; address unsafe conditions within their reasonable control; verify that required safety equipment is available where applicable; ensure that included utilities or services are accurately represented; and remove or disclose any condition that could materially affect the safety or use of the Listing. Nothing in this Section creates any obligation for Shanty BB to inspect, supervise, certify, repair, maintain, monitor, or guarantee any Listing. 6.5 Safety Disclosures Hosts shall disclose all known material conditions that could reasonably affect a Renter's decision to book or safely use a Listing. Such disclosures should include, where applicable: unstable or changing ice conditions; seasonal flooding; open water hazards; pressure ridges; wildlife activity; active hunting areas; firearm restrictions; ATV or snowmobile trail closures; boating restrictions; utility limitations; generator or propane hazards; carbon monoxide risks; construction or maintenance affecting the Property; limited emergency access; limited cellular service; remote locations; known structural defects; shared access areas; and any other known material safety condition. Hosts shall not intentionally conceal any known material defect or hazard. 6.6 Booking Commitments Hosts are responsible for maintaining accurate calendars and honoring confirmed Bookings. Once a Booking has been accepted, the Host shall fulfill the reservation unless cancellation is permitted under these Terms, the applicable Cancellation Policy, Applicable Law, or extraordinary circumstances beyond the Host's reasonable control. Repeated cancellations, repeated Listing inaccuracies, or repeated failures to fulfill confirmed Bookings may result in: reduced Listing visibility; temporary suspension of Listings; payment holds; Account suspension; Account termination; or other enforcement actions reasonably deemed necessary by Shanty BB. 6.7 Communication with Renters Hosts agree to communicate with Renters in a timely, professional, and respectful manner. Hosts shall make reasonable efforts to: respond promptly to Booking requests; provide arrival instructions; communicate material changes affecting a Booking; answer reasonable questions regarding the Listing; report known safety issues discovered before occupancy; cooperate in resolving disputes; and respond to reasonable requests from Shanty BB relating to Bookings or Platform operations. 6.8 Compliance with Laws Hosts are solely responsible for complying with all Applicable Laws relating to their Listings, including, where applicable: zoning regulations; building codes; occupancy limits; health and safety requirements; licensing requirements; tax obligations; environmental regulations; wildlife regulations; hunting regulations; fishing regulations; boating laws; ATV and snowmobile laws; firearm laws; accessibility requirements where applicable; and all other federal, state, provincial, tribal, and local laws governing the Listing. Shanty BB does not determine, monitor, or guarantee that any Listing complies with Applicable Law, and the Host remains solely responsible for obtaining all licenses, permits, approvals, inspections, registrations, and governmental authorizations required to lawfully offer a Listing through the Platform 6.9 Insurance Each Host is solely responsible for determining whether insurance is appropriate or required for their Property, Equipment, Listings, business operations, or recreational activities. Hosts are solely responsible for obtaining, maintaining, and paying for any insurance required by Applicable Law or otherwise deemed appropriate, including property, liability, commercial, recreational, inland marine, watercraft, ATV, snowmobile, hunting, or other specialty insurance. Unless expressly stated in a separate written agreement signed by Shanty BB, Shanty BB does not provide insurance coverage for any Host, Property, Equipment, Booking, User, Guest, or activity conducted through the Platform. A Host's decision to obtain or not obtain insurance shall not create any obligation or liability on the part of Shanty BB. 6.10 Taxes Hosts are solely responsible for determining, collecting, reporting, and remitting all taxes arising from their Listings, including income taxes, sales taxes, occupancy taxes, lodging taxes, excise taxes, use taxes, and any other governmental assessments, unless Shanty BB is expressly required by Applicable Law to collect or remit such taxes. Nothing contained in these Terms constitutes tax, accounting, or legal advice. Hosts are encouraged to consult qualified tax professionals regarding their individual obligations. 6.11 Cooperation with Investigations Hosts agree to cooperate in good faith with reasonable investigations conducted by Shanty BB relating to: fraud; payment disputes; chargebacks; safety concerns; User complaints; suspected criminal activity; intellectual property claims; violations of these Terms; requests from payment processors; or compliance with Applicable Law. Such cooperation may include providing documents, photographs, communications, maintenance records, ownership records, permits, licenses, insurance information, or other information reasonably necessary to investigate the matter. Failure to cooperate may result in suspension of Listings, payment holds, Account restrictions, or termination of Platform access. 6.12 Responsibility for Listings Each Host retains exclusive control over and responsibility for every Listing they publish. Without limitation, each Host is solely responsible for: pricing; availability; cancellations; maintenance; repairs; inspections; cleaning; utilities; emergency preparedness; access procedures; occupancy management; Guest access; security; compliance with Applicable Law; insurance; permits and licenses; tax obligations; communications with Renters; and every other aspect of operating the Listing. Nothing contained in these Terms shall be interpreted as transferring any operational responsibility for a Listing to Shanty BB. 6.13 Independent Business Relationship Each Host acknowledges and agrees that they operate as an independent property owner, landowner, equipment owner, recreational access provider, or independent business. Nothing contained in these Terms creates or shall be interpreted as creating any employment relationship, agency relationship, partnership, joint venture, franchise, brokerage relationship, fiduciary relationship, property management relationship, or similar legal relationship between the Host and Shanty BB. Hosts retain exclusive control over their business operations and remain solely responsible for all decisions regarding pricing, marketing, staffing, maintenance, inspections, repairs, legal compliance, insurance, taxes, customer service, and fulfillment of Bookings. 6.14 Enforcement and Reservation of Rights Failure to comply with this Section constitutes a material violation of these Terms. Without limiting any other rights available under these Terms or Applicable Law, Shanty BB may, in its sole discretion, take one or more of the following actions: issue warnings; require corrective action; request additional documentation; temporarily pause or remove Listings; reduce Listing visibility; delay or withhold payouts; suspend Booking privileges; suspend or terminate an Account; cancel pending or future Bookings where reasonably necessary to protect Users or the Platform; or take any other action reasonably necessary to protect Users, preserve marketplace integrity, reduce legal or financial risk, or comply with Applicable Law. The exercise or failure to exercise any enforcement right under these Terms shall not create any duty on the part of Shanty BB to monitor, inspect, supervise, manage, maintain, certify, or guarantee any Listing, Host, Property, Equipment, or Booking, nor shall any enforcement action be interpreted as an assumption of responsibility for the conduct of any User. 7. Renter Responsibilities 7.1 General Responsibility Renters are solely responsible for their conduct, the conduct of their Guests, and for using any Property, Equipment, or recreational access in a safe, lawful, and responsible manner. By making a Booking, the Renter accepts responsibility for ensuring that all Guests comply with these Terms, the applicable Listing, Host Rules, and all applicable laws. 7.2 Review of Listing Information Before making a Booking, Renters are responsible for carefully reviewing all Listing information, including: Property description; Equipment included; Occupancy limits; Pricing and fees; Security deposits; Cancellation Policy; Host Rules; Check-in and check-out requirements; Safety information; Required licenses or permits; and Any additional disclosures provided by the Host. A Booking confirms that the Renter has reviewed the Listing and determined it is suitable for their intended use. 7.3 Compliance with Host Rules During a Booking, Renters shall comply with all lawful Host Rules disclosed before or during the reservation. Host Rules may include, without limitation: Occupancy limits; Quiet hours; Parking restrictions; Pet policies; Smoking restrictions; Fire restrictions; ATV or snowmobile rules; Hunting or fishing requirements; Waste disposal procedures; Property access instructions; and Check-in and check-out procedures. If a conflict exists between Host Rules and these Terms, these Terms shall control. 7.4 Lawful and Authorized Use Renters shall use every Listing solely for lawful purposes and only in the manner intended by the Host. Without limitation, Renters shall not: violate any federal, state, provincial, tribal, or local law; violate any Host Rule; damage, destroy, abuse, or intentionally misuse Property or Equipment; permit unauthorized persons to occupy or use the Listing; exceed published occupancy limits; transfer, assign, sublicense, resell, or commercially exploit a Booking without the Host's written authorization; conduct unlawful or unauthorized commercial activities; remove Property or Equipment from the Listing without permission; tamper with safety devices or security equipment; interfere with neighboring properties or surrounding landowners; engage in fraudulent, deceptive, abusive, threatening, or criminal conduct; or otherwise use the Listing in any manner prohibited by these Terms or Applicable Law. 7.5 Responsibility for Guests The individual making the Booking is responsible for the conduct of all Guests, invitees, family members, employees, contractors, pets, and any other persons entering the Property or using Equipment through that Booking. The Renter remains responsible even if the Renter is not physically present during the Booking. 7.6 Inspection of Property and Equipment Immediately upon arrival, and before using any Property or Equipment, Renters shall conduct a reasonable visual inspection of the Listing. If the Renter observes any condition they reasonably believe may present a safety hazard, operational issue, or material discrepancy from the Listing, the Renter shall promptly notify the Host and discontinue use until the matter has been addressed to the Renter's satisfaction. By voluntarily continuing to occupy the Property or use any Equipment after conducting such inspection, or after having had a reasonable opportunity to do so, the Renter acknowledges that the Listing is accepted in its then-current condition except for conditions previously reported to the Host. Nothing contained in this Section creates any duty on the part of Shanty BB to inspect, repair, certify, supervise, or guarantee any Listing. 7.7 Safety Responsibilities Outdoor recreation involves inherent risks. Renters are responsible for exercising sound judgment and taking appropriate safety precautions appropriate to the activity. Without limiting the foregoing, Renters are responsible for: evaluating weather conditions; assessing ice, trail, and water conditions before use; wearing appropriate safety equipment; operating Equipment safely and within its intended purpose; supervising minors and Guests; complying with all warning signs and posted instructions; and discontinuing activities when conditions become unsafe. Nothing in these Terms transfers responsibility for personal safety to Shanty BB. 7.8 Required Licenses and Permits Renters are solely responsible for obtaining and maintaining any licenses, permits, registrations, certifications, or other governmental authorizations required for their intended activities. Examples may include: Fishing licenses; Hunting licenses; Boat registrations; ATV registrations; Snowmobile registrations; Firearm permits; Guide permits; and Any other authorization required by applicable law. Shanty BB does not verify whether a Renter possesses required licenses or permits. 7.9 Communication with Hosts Renters agree to communicate with Hosts in a timely, respectful, and professional manner. Renters shall promptly notify the Host of: arrival delays; emergencies; accidental damage; maintenance concerns; safety hazards discovered during occupancy; or other issues materially affecting the Booking. 7.10 Reporting Damage, Injuries, and Incidents Renters shall promptly notify both the Host and Shanty BB of any accident, injury, property damage, theft, equipment malfunction, criminal activity, emergency, or other material incident occurring during a Booking. Failure to timely report an incident may be considered when resolving disputes, processing insurance claims, determining liability, enforcing these Terms, or evaluating future use of the Platform. 7.11 Compliance with Laws Renters shall comply with all applicable federal, state, provincial, tribal, and local laws while using the Platform or participating in any Booking. Compliance includes, where applicable: wildlife regulations; fishing regulations; hunting regulations; boating laws; ATV laws; snowmobile laws; firearm laws; environmental regulations; trespassing laws; and all other applicable legal requirements. 7.12 No Reliance Upon Shanty BB Renters acknowledge and agree that Shanty BB is solely an online marketplace that facilitates introductions and transactions between independent Users. Shanty BB does not own, lease, manage, inspect, supervise, maintain, certify, repair, monitor, endorse, warrant, or guarantee any Property, Equipment, Host, Guest, Listing, recreational activity, or Booking. Renters remain solely responsible for independently determining whether every Listing, Property, Equipment, weather condition, ice condition, trail condition, water condition, access route, and surrounding environment is appropriate for their intended use. 7.13 Violations and Enforcement Failure to comply with this Section constitutes a material violation of these Terms. Without limiting any other remedies available under these Terms or Applicable Law, Shanty BB may, in its sole discretion: issue warnings; require corrective action; cancel pending or future Bookings; remove Listings, reviews, photographs, or other User Content where appropriate; delay, reduce, or deny refunds where permitted under these Terms; suspend or terminate Platform access; permanently terminate Accounts; or take any other action reasonably necessary to protect Users, preserve the integrity of the Platform, reduce legal or financial risk, or comply with Applicable Law. The exercise or failure to exercise any enforcement right shall not create any duty on the part of Shanty BB to monitor, supervise, inspect, investigate, or control the conduct of any User or the condition of any Listing. 7.14 User Acknowledgement By making a Booking through the Platform, the Renter acknowledges and agrees that: The Renter is responsible for their own conduct and the conduct of all Guests. Outdoor recreation activities involve inherent risks that cannot be eliminated. The Renter is responsible for complying with Host Rules and applicable law. Shanty BB is not responsible for supervising, controlling, or guaranteeing the actions of Hosts, Renters, or other Users. The Renter assumes responsibility for using reasonable judgment and taking appropriate safety precautions throughout the Booking. 7.15 Independent Safety Decisions Each Renter acknowledges that no Listing can be made completely safe. Before participating in any activity, the Renter shall independently determine whether: weather conditions; ice conditions; water conditions; trail conditions; Equipment condition; wildlife activity; visibility; emergency access; communications; and the physical abilities of every participant are suitable for the intended activity. The decision to proceed with any activity remains solely that of the Renter and their Guests. 7.16 Responsibility for Personal Property Renters are solely responsible for safeguarding their own personal property and the personal property of their Guests during any Booking. Shanty BB shall not be liable for the loss, theft, damage, or destruction of personal belongings left at any Property, within any Equipment, or on surrounding land before, during, or after a Booking. Users are encouraged to obtain appropriate insurance for valuable personal property. 8. Listings 8.1 Creating a Listing Hosts may create Listings for lawful Properties, Equipment, recreational access, or outdoor experiences that they are legally authorized to offer through the Platform. Each Listing must accurately represent the offering and comply with these Terms and all applicable laws. Creating a Listing does not guarantee publication, search placement, visibility, or Bookings. 8.2 Host Authority By publishing a Listing, the Host represents and warrants that they possess all rights, permissions, licenses, leases, authorizations, and legal authority necessary to offer the Listing through the Platform. The Host further represents that offering the Listing will not violate: Applicable law; Court orders; Contracts; Lease agreements; Homeowner association rules; Conservation restrictions; Easements; Governmental regulations; or The rights of any third party. 8.3 Listing Accuracy Hosts are solely responsible for ensuring that Listings remain truthful, complete, current, and not misleading. Listings shall accurately disclose, where applicable: Property location; Type of Property or Equipment; Sleeping capacity; Amenities; Included Equipment; Accessibility limitations; Utility availability; Parking availability; Check-in and check-out procedures; Pricing; Security deposits; Cleaning fees; Additional charges; Cancellation Policy; Occupancy limits; Known hazards; Seasonal limitations; Required licenses or permits; and Any material restrictions affecting use of the Listing. Hosts shall promptly update Listings whenever material information changes. 8.4 Photographs and Media All photographs, videos, maps, drone footage, floor plans, logos, descriptions, and other media included in a Listing must accurately depict the Property, Equipment, or services being offered. Hosts shall not use media that: materially misrepresents the Listing; infringes intellectual property rights; contains deceptive editing; includes false watermarks or certifications; depicts property not included in the Listing; or otherwise misleads Users. Illustrative images must be clearly identified as such. 8.5 Pricing Hosts are solely responsible for establishing: Nightly or daily rental rates; Weekly or seasonal rates; Cleaning fees; Security deposits; Pet fees; Additional guest fees; Optional service fees; and Any other lawful charges. All mandatory fees must be clearly disclosed before a Booking is completed. Hosts shall not intentionally conceal mandatory charges. 8.6 Availability Hosts are responsible for maintaining accurate availability calendars. Publishing availability does not obligate a Host to accept every Booking request unless the Platform expressly offers an instant booking feature and the Listing is configured to accept such reservations. Repeated calendar inaccuracies may result in reduced Listing visibility, suspension, or removal. 8.7 Listing Standards Listings must be maintained in a manner consistent with reasonable marketplace standards. Listings shall not: contain false or misleading information; promote unlawful activities; advertise prohibited items or services; contain offensive, discriminatory, or harassing content; include malware or malicious code; direct Users to complete transactions outside the Platform in violation of these Terms; or otherwise violate Shanty BB policies. 8.8 Prohibited Listings The following Listings are prohibited unless expressly approved in writing by Shanty BB: Property the Host is not authorized to rent; Illegal hunting or fishing opportunities; Trespassing access; Fraudulent Listings; Counterfeit permits or licenses; Illegal guided activities; Property intended primarily for unlawful purposes; Listings involving stolen property or equipment; Listings prohibited by applicable law; and Any Listing that creates an unreasonable risk to Users or the Platform. Shanty BB reserves the right to remove any Listing it reasonably believes violates these Terms or applicable law. 8.9 Listing Review and Removal Shanty BB may, but is not obligated to, review Listings for compliance with these Terms. Shanty BB reserves the right to edit, reject, suspend, hide, or remove any Listing that: violates these Terms; appears fraudulent or misleading; receives credible safety complaints; infringes intellectual property rights; violates applicable law; presents an unreasonable safety risk; or otherwise threatens the integrity of the Platform. The exercise or non-exercise of these rights does not create a duty on the part of Shanty BB to monitor, inspect, or guarantee any Listing. 8.10 Search Placement Shanty BB may determine the order in which Listings appear in search results using proprietary algorithms and marketplace factors, including, without limitation: Availability; User preferences; Geographic location; Listing quality and completeness; Pricing; Reviews and ratings; Responsiveness; Booking history; Safety-related factors; Promotional programs; and Other marketplace considerations. Hosts acquire no right to any particular search ranking, visibility, or promotional placement. 8.11 Listing Modifications Hosts may update Listing information at any time, subject to these Terms. Changes made after a Booking has been confirmed shall not materially alter the terms of the confirmed reservation without the consent of the affected Renter or as otherwise permitted by these Terms. 8.12 Removal by Host Hosts may remove a Listing from the Platform at any time. Removing a Listing does not automatically cancel confirmed Bookings or relieve the Host of obligations arising from previously accepted reservations. 8.13 User Acknowledgement By publishing a Listing, each Host acknowledges and agrees that: The Host is solely responsible for the content of the Listing. The Host is responsible for maintaining the Listing's accuracy. Shanty BB does not create or verify Listing content before publication. Shanty BB may remove or restrict Listings that violate these Terms. Publishing a Listing does not guarantee visibility, Bookings, or revenue. 8.14 Fee Circumvention. Shanty BB invests substantial time, technology, marketing, and resources to connect Hosts and Renters through the Platform. Accordingly, any Booking, rental, extension, renewal, repeat rental, or other transaction that originates through the Platform must be completed through Shanty BB unless expressly authorized in writing by Shanty BB. Hosts and Renters may not directly or indirectly solicit, encourage, request, advertise, or agree to complete any transaction outside the Platform for the purpose of avoiding Service Fees or otherwise circumventing the Platform. Intentional fee circumvention constitutes a material breach of these Terms. In addition to any other rights and remedies available under these Terms or Applicable Law, Shanty BB reserves the right to suspend or terminate Accounts, remove Listings, cancel Bookings, recover unpaid Service Fees, recover any damages resulting from the violation, recover reasonable costs of collection and attorneys' fees where permitted by law, and pursue any other contractual, legal, or equitable remedies available. This Section applies regardless of whether the off-platform transaction occurs before, during, or after an initial Booking made through Shanty BB and survives the termination of these Terms or any User Account. 9. Bookings 9.1 Booking Requests A Renter may request to reserve a Listing through the Platform by submitting a Booking request or, where available, utilizing an Instant Booking feature. Submission of a Booking request does not create a confirmed reservation until the Booking has been accepted by the Host or otherwise confirmed through the Platform. 9.2 Booking Confirmation A Booking is confirmed only when: the Host accepts the Booking request, or the Booking qualifies for Instant Booking; required payment authorization has been successfully completed; the Renter receives a booking confirmation through the Platform; and the Booking is not otherwise declined, canceled, or invalidated in accordance with these Terms. Until a Booking is confirmed, either party may decline to proceed. 9.3 Booking Contract Upon confirmation of a Booking, the Host and the Renter enter into a legally binding agreement with one another. Shanty BB is not a party to that agreement and assumes no responsibility for either party's performance except as expressly stated in these Terms. The Booking contract consists of: These Terms; The applicable Listing; The Host's published rules; The selected Cancellation Policy; Any written modifications agreed to through the Platform; and Any additional documents expressly incorporated into the Booking. 9.4 Booking Information The Renter is responsible for reviewing the Booking confirmation promptly upon receipt. Any errors regarding: Booking dates; Number of Guests; Property selected; Pricing; Fees; Special requests; or Other reservation details should be reported immediately through the Platform. 9.5 Changes to a Booking After a Booking has been confirmed, modifications may only occur: through the Platform; with the mutual agreement of the Host and the Renter; or as otherwise permitted under these Terms or applicable law. Modification requests may include: Changes to reservation dates; Guest count; Check-in or check-out times; Optional services; Pricing adjustments agreed to by both parties; or Other Booking details. No modification is effective until confirmed through the Platform. 9.6 Host Cancellations Hosts should honor every confirmed Booking. If a Host must cancel a confirmed Booking, the Host shall promptly notify the Renter through the Platform. Repeated Host cancellations, cancellations without good cause, or cancellations that negatively impact marketplace integrity may result in: financial penalties, where permitted by law; reduced Listing visibility; temporary suspension of Listings; Account suspension; Account termination; or other enforcement actions deemed appropriate by Shanty BB. Nothing in this Section requires a Host to proceed with a Booking where doing so would violate applicable law or present an unreasonable safety risk. 9.7 Renter Cancellations Renters may cancel confirmed Bookings in accordance with the applicable Cancellation Policy selected by the Host and any mandatory consumer protection requirements imposed by applicable law. Refund eligibility, credits, and applicable fees shall be governed by Section 11 (Cancellation Policies). 9.8 Failure to Appear If a Renter fails to arrive for a confirmed Booking without prior communication ("No-Show"), the Booking shall be treated in accordance with the applicable Cancellation Policy. Hosts are encouraged, but not required, to make reasonable efforts to contact the Renter before treating the reservation as abandoned. 9.9 Failure to Provide Access If a Host is unable or unwilling to provide access to the confirmed Listing at the scheduled check-in time, the Host shall promptly notify the Renter and Shanty BB. Where appropriate, Shanty BB may, but is not obligated to: facilitate communication between the parties; assist in locating a comparable Listing; issue refunds or credits as required under the applicable Cancellation Policy or law; or take enforcement action against the Host. 9.10 Platform Assistance Shanty BB may provide customer support and communication tools to assist Users before, during, or after a Booking. Such assistance is provided as a marketplace service and does not create an obligation for Shanty BB to mediate disputes, guarantee outcomes, or assume responsibility for the underlying transaction. 9.11 Off-Platform Transactions Prohibited To protect the integrity of the Platform, Hosts and Renters agree not to use Shanty BB to identify one another for the purpose of completing, renewing, extending, or arranging transactions outside the Platform in order to avoid applicable service fees or Platform policies. Examples include: exchanging contact information before a confirmed Booking for the purpose of bypassing the Platform; accepting direct payment outside the Platform for a Booking initiated through Shanty BB; encouraging another User to cancel a Platform Booking and complete the transaction privately; or using Platform messaging to solicit off-platform rentals. Nothing in this Section prohibits Users from communicating through the Platform as necessary to complete a Booking or from engaging in future transactions where expressly permitted by Shanty BB's policies. Violation of this Section may result in cancellation of Bookings, forfeiture of fees, suspension or termination of Accounts, or other enforcement actions. 9.12 Booking Disputes If a dispute arises regarding a Booking, Users are encouraged to communicate directly through the Platform in an effort to resolve the matter. If the parties are unable to reach a resolution, Shanty BB may, but is not obligated to, review available information and facilitate communications. Any assistance provided by Shanty BB is voluntary and does not constitute legal, arbitration, or mediation services unless expressly stated otherwise. 9.13 User Acknowledgement By requesting, accepting, or participating in a Booking, each User acknowledges and agrees that: A confirmed Booking creates obligations between the Host and the Renter. Shanty BB provides the technology used to facilitate the Booking but is not a party to the rental agreement. Changes and cancellations are governed by these Terms and the applicable Cancellation Policy. Users are expected to communicate promptly and in good faith regarding issues affecting a Booking. Attempting to circumvent the Platform may result in enforcement actions. 10. Payments, Fees, Taxes, and Payouts 10.1 Payment Processing Shanty BB facilitates payments between Hosts and Renters through one or more independent third-party payment processors. By using the Platform, Users authorize Shanty BB and its designated payment processor(s) to collect, hold, process, transfer, receive, disburse, reverse, refund, debit, credit, or otherwise administer payments associated with Bookings. Shanty BB is not a bank, money transmitter, escrow company, trust company, or financial institution and does not independently process or hold customer funds except as permitted by Applicable Law and through its designated payment partners. All payment processing services remain subject to the terms, conditions, privacy policies, operating rules, and security procedures of the applicable payment processor. 10.2 Fees Hosts and Renters agree to pay all fees disclosed before confirming a Booking, including but not limited to: Rental Charges; Platform Service Fees; Processing Fees; Cleaning Fees; Security Deposits; Damage Charges; Taxes; Cancellation Fees; Optional Service Fees; and Any additional charges authorized under these Terms. All fees are stated in the applicable currency and are due when specified during the booking process. 10.3 Payment Authorization By submitting a Booking or otherwise using the Platform, each User irrevocably authorizes Shanty BB and its payment processor(s) to: charge or debit any authorized payment method; issue refunds or credits; collect Security Deposits; recover unpaid balances; reverse erroneous transactions; recover amounts resulting from chargebacks; offset future payouts or refunds; and process any other payment authorized by these Terms or Applicable Law. Users represent that they are authorized to use every payment method submitted to the Platform. 10.4 Host Payouts Host payouts will generally be initiated after a Booking begins or is completed, subject to the payout schedule established by Shanty BB or its payment processor. Shanty BB may delay, suspend, reduce, offset, or withhold any payout whenever reasonably necessary to: investigate fraud; investigate a dispute; verify identity; verify ownership; comply with Applicable Law; comply with court orders; satisfy payment processor requirements; respond to chargebacks; investigate safety concerns; enforce these Terms; or protect the Platform or its Users. Delayed payouts shall not constitute a breach of these Terms. 10.5 Security Deposits Where applicable, Hosts may require a Security Deposit. Security Deposits may be used to compensate a Host for documented damage, excessive cleaning, missing property, unauthorized occupancy, unpaid fees, or other losses permitted under these Terms. Shanty BB may assist in administering Security Deposits but assumes no obligation to investigate, determine fault, or guarantee recovery. 10.6 Taxes Each User is solely responsible for determining, collecting, reporting, remitting, and paying all taxes arising from their use of the Platform, including income taxes, sales taxes, occupancy taxes, lodging taxes, excise taxes, use taxes, value-added taxes, and similar governmental assessments unless Shanty BB is expressly required by Applicable Law to collect or remit such taxes. Users agree to provide any tax documentation reasonably requested by Shanty BB or its payment processor, including taxpayer identification numbers, withholding forms, residency certifications, or similar information. Failure to provide required tax documentation may result in delayed payouts, withholding, or suspension of Platform access. 10.7 Chargebacks and Payment Disputes If any payment is disputed, reversed, recalled, or charged back by a financial institution or payment processor, Shanty BB may, without prior notice: suspend the User's Account; recover previously issued payouts; withhold future payouts; cancel pending Bookings; collect outstanding balances; recover administrative costs associated with the dispute; and pursue any other remedies available under these Terms or Applicable Law. Users agree to cooperate fully in any investigation relating to disputed transactions. 10.8 Fraud Prevention Shanty BB reserves the right to refuse, suspend, delay, cancel, reverse, or investigate any payment or payout that it reasonably believes involves: fraud; identity theft; stolen payment credentials; money laundering; sanctions violations; terrorist financing; unauthorized activity; deceptive conduct; criminal activity; payment processor violations; or activity presenting an unreasonable financial, legal, or reputational risk to the Platform. Shanty BB may require additional documentation or identity verification before processing any payment or payout. 10.9 Currency Conversion If currency conversion services are offered, exchange rates and conversion fees are determined by independent financial institutions or payment processors. Shanty BB does not control currency exchange rates or banking fees and shall not be responsible for losses resulting from currency fluctuations or conversion charges. 10.10 Refunds Refund eligibility shall be governed by these Terms, the applicable cancellation policy, Applicable Law, and any mandatory consumer protection requirements. Except where required by Applicable Law or expressly provided in these Terms, Shanty BB has no obligation to issue refunds. Processing times for approved refunds may vary depending upon financial institutions and payment processors. 10.11 Collection Rights If a User fails to pay any amount owed under these Terms, Shanty BB may pursue all lawful remedies, including: offsetting future payments or payouts; engaging third-party collection agencies; initiating legal proceedings; recovering reasonable attorneys' fees, court costs, collection expenses, and enforcement costs where permitted by Applicable Law; and exercising any other rights available under these Terms or Applicable Law. 10.12 Financial Compliance Users represent and warrant that they are legally permitted to use the Platform and are not prohibited under any Applicable Law relating to anti-money laundering, anti-terrorism financing, economic sanctions, export controls, financial crimes, or similar governmental restrictions. Users further represent that they are not acting on behalf of any sanctioned person, entity, or jurisdiction. 10.13 Reservation of Rights Shanty BB reserves the right, at its sole discretion, to modify fees, payout schedules, payment procedures, accepted payment methods, Security Deposit requirements, and financial risk controls at any time to comply with Applicable Law, payment processor requirements, or legitimate business needs. Any material changes affecting future Bookings will be communicated to Users as required by Applicable Law. 11. Cancellation Policy Cancellation policies on Shanty BB are designed to balance the needs of Renters with the unique operational challenges of outdoor and seasonal rentals. Because many Listings involve short seasons, weather-dependent access, and limited availability, cancellations may result in significant losses for Hosts. By requesting or confirming a Booking through the Platform, each User agrees to the cancellation provisions set forth in this Section. 11.1 Host-Selectable Cancellation Policies Each Listing must be assigned one of the following cancellation policy tiers: Flexible Moderate Firm Strict No Refund The cancellation policy selected by the Host will be displayed prominently within the applicable Listing and shall become part of the Booking agreement between the Host and the Renter. Hosts may select the cancellation policy that best reflects the nature of their Listing, seasonal demand, operational requirements, and business preferences. 11.2 Standard Shanty BB Refund Schedule Unless a Host has selected a different cancellation policy for a Listing, the following default Shanty BB cancellation schedule shall apply: This default schedule has been specifically developed for outdoor recreational rentals, including, but not limited to: Ice fishing shanties Cabins Lodges Hunting camps Food plots ATV trail access Snowmobile trail access Boat slips Campsites Other seasonal outdoor recreational Listings where last-minute cancellations frequently result in lost rental opportunities for Hosts. 11.3 Travel Credit Option If both the Host and the Renter mutually agree, a canceled Booking may be refunded in the form of a travel credit rather than a cash refund. Travel credits: are issued through the Shanty BB Platform; may be applied toward future Bookings with the same Host; may be subject to expiration dates, blackout periods, or other reasonable restrictions established by the Host; and have no cash value unless otherwise required by applicable law. Participation in the travel credit program is voluntary and requires the mutual agreement of both the Host and the Renter. 11.4 Rebooking Provision If a Host successfully rebooks some or all of the canceled reservation dates, the Host may, in the Host's sole discretion: issue an additional partial refund; issue a full refund; or waive all or part of the applicable cancellation penalties. Nothing in this Section requires a Host to provide any additional refund solely because the canceled dates were subsequently rebooked. 11.5 Renter Cancellations Renters may cancel a confirmed Booking through the Shanty BB Platform at any time. Refund eligibility shall be determined by: the Host's selected cancellation policy; the timing of the cancellation; any non-refundable fees, deposits, or charges disclosed prior to Booking; these Terms; and applicable law. Renters acknowledge that certain Listings may be designated as non-refundable. 11.6 Host Cancellations Hosts are expected to honor all confirmed Bookings. A Host may cancel a confirmed Booking only for legitimate reasons, including, but not limited to: verified safety hazards; substantial Property damage; weather-related conditions preventing safe access; legal or governmental restrictions; unavoidable double-booking errors; or other circumstances recognized by Shanty BB. Improper, repeated, or unjustified Host cancellations may result in: cancellation penalties; reduced Listing visibility; temporary suspension of Listings; suspension or termination of the Host's Account; or other enforcement actions deemed appropriate by Shanty BB. Unless otherwise required by law or these Terms, Renters will receive a full refund for valid Host-initiated cancellations. 11.7 Weather and Environmental Conditions Outdoor recreation is inherently dependent upon environmental conditions. Weather conditions including, but not limited to: rain; snow; wind; heat; cold temperatures; wildlife activity; changing water conditions; changing ice conditions; and seasonal environmental changes, do not automatically entitle a Renter to a refund. Refunds based upon weather or environmental conditions shall only be available where: the Host's selected cancellation policy expressly provides for such refunds; or verified conditions create a legitimate safety hazard that prevents reasonable access to or lawful use of the Listing. 11.8 Travel Insurance Recommendation Shanty BB strongly recommends that all Renters purchase travel or trip cancellation insurance, particularly for: weather-dependent Bookings; seasonal rentals; remote or wilderness destinations; high-value equipment rentals; extended stays; and multi-day outdoor recreational trips. Travel insurance may provide protection for circumstances beyond the Host's or Shanty BB's control. 11.9 No-Show Policy A Renter who fails to arrive for a confirmed Booking without canceling through the Platform shall be considered a "No-Show." Unless otherwise required by applicable law or expressly provided in the applicable cancellation policy, No-Shows are not entitled to a refund. 11.10 Platform-Initiated Cancellations Shanty BB reserves the right to cancel or suspend a Booking when reasonably necessary to protect the Platform, its Users, or to comply with applicable law. Examples include: suspected fraud; payment failure; violations of these Terms; safety concerns; legal or regulatory compliance issues; identity verification failures; or other circumstances that, in Shanty BB's reasonable judgment, threaten the integrity of the Platform. Refund eligibility for Platform-initiated cancellations shall depend upon the circumstances giving rise to the cancellation, these Terms, and applicable law. 12. Assumption of Risk 12.1 Acknowledgement of Inherent Risks The Renter, every Guest, and every other participant acknowledge and agree that outdoor recreation, travel, and the use of privately owned property or equipment involve inherent, obvious, and unforeseeable risks that cannot be eliminated regardless of the degree of care exercised by any person. Such risks include, without limitation: changing weather conditions; unstable or deteriorating ice; open water; thin ice; pressure ridges; snow and ice accumulation; rough terrain; cliffs; rocks; fallen trees; mud; flooding; wildlife encounters; insects; poisonous plants; water hazards; drowning; boating hazards; hunting activities; firearms; archery equipment; fishing equipment; ATV operation; snowmobile operation; vehicle accidents; equipment failure; mechanical breakdowns; utility interruptions; fire; carbon monoxide exposure; remote locations; delayed emergency response; limited cellular service; acts or omissions of other persons; negligent acts of other Users; and any other natural or man-made condition associated with outdoor recreation or travel. These risks may result in property damage, illness, permanent disability, emotional distress, or death. 12.2 Voluntary Participation Each Renter and Guest voluntarily chooses to participate in every activity associated with a Booking. Participation is entirely voluntary, and no User is required by Shanty BB to participate in any recreational activity, occupy any Property, use any Equipment, or continue any activity once conditions become unsafe or undesirable. 12.3 Assumption of Risk To the fullest extent permitted by Applicable Law, each Renter knowingly, voluntarily, and expressly assumes all risks, whether known or unknown, foreseeable or unforeseeable, ordinary or extraordinary, arising from or relating to: use of the Platform; any Booking; occupancy of any Property; use of any Equipment; recreational activities; travel to or from any Listing; acts or omissions of Hosts; acts or omissions of other Users; weather conditions; natural conditions; wildlife; road, trail, water, or ice conditions; equipment condition; emergency response delays; and any other circumstance arising before, during, or after a Booking. This assumption of risk applies regardless of whether a particular risk is specifically described within these Terms, a Listing, or any communication between Users. 12.4 Independent Inspection and Safety Decisions Before occupying any Property, using any Equipment, or participating in any recreational activity, the Renter is solely responsible for independently evaluating whether conditions are appropriate for the intended activity. Without limitation, the Renter is responsible for evaluating: weather; visibility; ice thickness and stability; water conditions; trail conditions; road access; wildlife activity; fire conditions; emergency access; communications availability; equipment condition; personal skill level; physical condition of all participants; and any other circumstance that may affect safety. The decision to begin, continue, postpone, or discontinue any activity remains solely that of the Renter and their Guests. 12.5 Duty to Discontinue Unsafe Activities If, at any time, a Renter or Guest believes conditions may be unsafe, unsuitable, or beyond their abilities, they shall immediately discontinue the activity and take appropriate precautions. Continuation of any activity after observing or becoming aware of potentially hazardous conditions constitutes the voluntary assumption of any additional risks associated with those conditions. 12.6 Medical Responsibility Each Renter is solely responsible for determining whether they and their Guests possess the physical fitness, health, training, experience, and ability necessary to safely participate in any activity associated with a Booking. Shanty BB makes no representation that any Listing or activity is suitable for any particular individual, age group, skill level, or physical condition. 12.7 No Guarantee of Safety The absence of warnings, disclosures, inspections, recommendations, or identified hazards shall not be interpreted as a representation that any Property, Equipment, activity, or condition is safe. Shanty BB does not guarantee the safety, condition, legality, suitability, or fitness of any Listing, Property, Equipment, Host, recreational activity, weather condition, trail, body of water, or ice condition. 12.8 Scope of Assumption of Risk The assumption of risk contained in this Section applies to all claims, losses, injuries, damages, liabilities, costs, and expenses arising out of or relating to any Booking, Listing, Property, Equipment, recreational activity, or use of the Platform, regardless of whether such claims arise before, during, or after a Booking. Nothing in this Section limits any assumption of risk, release, waiver, disclaimer, limitation of liability, or indemnification obligation contained elsewhere in these Terms. All such provisions are intended to be cumulative and interpreted to provide the maximum protection permitted by Applicable Law. 13. Release of Liability 13.1 Release To the fullest extent permitted by Applicable Law, each User, on behalf of themselves and, where permitted by law, their heirs, successors, assigns, personal representatives, estate, insurers, Guests, invitees, and any other person claiming through them (collectively, the "Releasing Parties"), knowingly, voluntarily, and irrevocably releases, waives, acquits, and forever discharges Shanty BB, its parent companies, subsidiaries, affiliates, owners, founders, officers, directors, managers, members, employees, contractors, agents, representatives, licensors, service providers, payment processors, successors, and assigns (collectively, the "Released Parties") from any and all claims, demands, causes of action, liabilities, damages, judgments, settlements, fines, penalties, losses, costs, and expenses of every kind, whether known or unknown, suspected or unsuspected, accrued or unaccrued, fixed or contingent, arising out of or relating to: use of the Platform; any Listing; any Booking; any Property; any Equipment; recreational activities; travel to or from a Listing; communications between Users; acts or omissions of any User; cancellation of Bookings; weather conditions; natural hazards; wildlife; equipment failure; emergency response; personal injury; illness; disease; death; emotional distress; property damage; economic loss; or any other event arising directly or indirectly from the use of the Platform. 13.2 Claims Released This release applies regardless of the legal theory asserted, including, without limitation: negligence; premises liability; personal injury; wrongful death; property damage; product liability; negligent hiring; negligent supervision; negligent inspection; negligent misrepresentation; breach of contract; statutory claims; equitable claims; and any other civil claim permitted to be released under Applicable Law. This release applies whether such claims arise before, during, or after a Booking. 13.3 Marketplace Status Users acknowledge and agree that Shanty BB is solely an online marketplace that enables independent Users to locate one another and enter into rental or recreational access agreements. Shanty BB does not own, lease, possess, control, manage, inspect, supervise, repair, maintain, certify, monitor, endorse, guarantee, or warrant any Listing, Property, Equipment, Host, Guest, recreational activity, or User. Accordingly, Users agree that the Released Parties shall not be liable for the condition, safety, legality, suitability, availability, operation, maintenance, inspection, repair, or performance of any Listing or recreational activity offered through the Platform. 13.4 User Responsibility Each User acknowledges that they have had a full opportunity to independently investigate every Listing before participating in any activity. Each User accepts sole responsibility for: deciding whether to participate; determining whether conditions are suitable; inspecting Property and Equipment; supervising minors; complying with Applicable Law; obtaining appropriate insurance; obtaining required licenses and permits; safeguarding personal property; and exercising reasonable care throughout every Booking. Users acknowledge that they are not relying upon any representation allegedly made by Shanty BB regarding the safety, condition, legality, quality, suitability, or fitness of any Listing. 13.5 Unknown Claims To the fullest extent permitted by Applicable Law, this release extends to claims that are presently unknown, unsuspected, or unanticipated. Each User acknowledges that they may later discover facts different from or in addition to those presently known, yet nevertheless intends that this release remain effective and fully enforceable with respect to all released matters. 13.6 Covenant Not to Sue To the fullest extent permitted by Applicable Law, each User agrees not to commence, maintain, participate in, assist, encourage, or voluntarily join any lawsuit, arbitration, administrative proceeding, or other legal action against any Released Party regarding any claim released under this Section. If any Released Party must defend against a claim brought in violation of this covenant, the User shall be responsible, to the fullest extent permitted by Applicable Law, for the Released Party's reasonable attorneys' fees, litigation expenses, and costs incurred in defending such action, except where prohibited by law. 13.7 Scope of Release This release is intended to be interpreted as broadly as permitted by Applicable Law. If any portion of this Section is determined to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect and shall be interpreted to provide the maximum protection permitted by Applicable Law. Nothing contained in this Section limits or replaces any disclaimer, limitation of liability, indemnification obligation, assumption of risk, arbitration requirement, class action waiver, or other protection contained elsewhere in these Terms. All such provisions are cumulative and shall be interpreted together to provide the fullest protection permitted by Applicable Law. 14. Limitation of Liability 14.1 Maximum Liability TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF SHANTYBB, ITS PARENT COMPANIES, SUBSIDIARIES, AFFILIATES, OWNERS, FOUNDERS, OFFICERS, DIRECTORS, MANAGERS, MEMBERS, EMPLOYEES, CONTRACTORS, AGENTS, REPRESENTATIVES, LICENSORS, SERVICE PROVIDERS, PAYMENT PROCESSORS, SUCCESSORS, AND ASSIGNS (COLLECTIVELY, THE "LIMITED PARTIES") ARISING OUT OF OR RELATING TO THE PLATFORM, THESE TERMS, ANY LISTING, ANY BOOKING, ANY PROPERTY, ANY EQUIPMENT, OR ANY USER INTERACTION SHALL NOT EXCEED THE GREATER OF: (a) THE TOTAL SERVICE FEES ACTUALLY RECEIVED BY SHANTYBB FROM THE SPECIFIC BOOKING GIVING RISE TO THE CLAIM; OR (b) ONE HUNDRED UNITED STATES DOLLARS (US $100.00). THIS LIMIT APPLIES REGARDLESS OF THE NUMBER OF CLAIMS, LEGAL THEORIES ASSERTED, OR PERSONS MAKING CLAIMS. 14.2 Excluded Damages TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE LIMITED PARTIES SHALL NOT BE LIABLE FOR ANY: indirect damages; incidental damages; consequential damages; exemplary damages; punitive damages; special damages; enhanced damages; multiple damages; loss of profits; loss of income; loss of business opportunity; loss of anticipated savings; loss of goodwill; loss of reputation; loss of use; loss of data; corruption of data; interruption of business; interruption of recreational activities; replacement costs; travel expenses; lodging expenses; transportation expenses; emotional distress; mental anguish; or any other economic or non-economic damages arising out of or relating to the Platform or any Booking. This limitation applies regardless of whether such damages were foreseeable or whether Shanty BB was advised of the possibility of such damages. 14.3 No Liability for User Conduct Shanty BB is not responsible for, and shall have no liability arising from: the conduct of any Host; the conduct of any Renter; the conduct of any Guest; acts or omissions of third parties; criminal conduct; fraudulent conduct; negligent conduct; intentional misconduct; violations of Applicable Law by any User; disputes between Users; or damage arising from interactions between Users. Each User is solely responsible for their own conduct and decisions. 14.4 No Liability for Listings Shanty BB does not own, lease, possess, control, inspect, supervise, manage, maintain, repair, monitor, certify, endorse, or guarantee any Listing, Property, Equipment, recreational activity, or surrounding conditions. Accordingly, the Limited Parties shall not be liable for any claim arising from or relating to: the condition of any Property; equipment defects or failures; maintenance issues; utility interruptions; weather conditions; ice conditions; trail conditions; wildlife; natural hazards; emergency response; accessibility; cleanliness; habitability; legal compliance by a Host; actions or omissions of a Host; or any condition existing at or near a Listing. 14.5 Technology Services Shanty BB provides an online technology platform on an "AS IS" and "AS AVAILABLE" basis. The Limited Parties do not warrant that the Platform will be uninterrupted, secure, error-free, virus-free, compatible with every device, or continuously available. Without limiting the foregoing, Shanty BB shall not be liable for: system outages; maintenance interruptions; internet failures; telecommunications failures; payment processor interruptions; software defects; data loss; unauthorized access; cybersecurity incidents; third-party integrations; mapping inaccuracies; GPS inaccuracies; messaging failures; or delays in Platform performance. 14.6 Third-Party Services Shanty BB may make available or integrate with third-party services, including payment processors, mapping providers, communication tools, identity verification services, insurance providers, advertising platforms, analytics providers, and other technology vendors. Shanty BB is not responsible for the availability, accuracy, security, performance, acts, omissions, policies, or services of any third party. Any interaction between a User and a third party is solely between those parties. 14.7 Basis of the Bargain The Users acknowledge that the pricing, Service Fees, availability of the Platform, and willingness of Shanty BB to provide marketplace services are based upon the liability limitations contained in these Terms. These limitations constitute an essential basis of the agreement between the parties and shall survive even if any limited remedy fails of its essential purpose. 14.8 Application of Limitations The limitations contained in this Section apply to every claim arising under any legal theory, including: contract; tort; negligence; gross negligence where limitation is permitted by Applicable Law; strict liability where limitation is permitted; statutory claims where limitation is permitted; equitable claims; and any other theory of liability permitted to be limited by Applicable Law. If any portion of this Section is held invalid or unenforceable, the remaining provisions shall remain in full force and effect and shall be interpreted to provide the maximum limitation of liability permitted by Applicable Law. Nothing contained in this Section limits the effectiveness of any assumption of risk, release, disclaimer, indemnification obligation, arbitration provision, class action waiver, or other limitation contained elsewhere in these Terms. All such provisions are cumulative and shall be interpreted together to provide the fullest protection permitted by Applicable Law. 15. Indemnification To the fullest extent permitted by applicable law, each User agrees to defend, indemnify, and hold harmless Shanty BB and the Released Parties from and against any and all claims, demands, actions, proceedings, liabilities, damages, judgments, settlements, fines, penalties, losses, costs, expenses, and reasonable attorneys' fees arising out of or relating to the User's conduct, use of the Platform, Listings, Bookings, Properties, Equipment, or any violation of these Terms. 15.1 Scope of Indemnification The User's indemnification obligations include, without limitation, claims arising from: the User's breach of these Terms; the User's violation of any applicable law, regulation, or governmental requirement; the User's negligent, reckless, intentional, or unlawful acts or omissions; injury, death, or property damage caused by the User; damage to any Property or Equipment; disputes between Hosts and Renters; disputes involving Guests or invitees; User Content submitted to the Platform; infringement or alleged infringement of any intellectual property or proprietary rights; fraudulent or misleading conduct; unauthorized use of another person's Account; and any other act or omission for which the User is legally responsible. 15.2 Host Indemnification Each Host further agrees to defend, indemnify, and hold harmless Shanty BB and the Released Parties from and against any claims arising out of or relating to: the condition, maintenance, repair, or safety of any Listing; inaccurate Listing information; injuries occurring on or around the Property; Equipment provided through the Listing; violations of zoning, licensing, permitting, tax, environmental, or other applicable laws; failure to obtain required insurance; failure to disclose known hazards; or any services, amenities, or representations made by the Host. Hosts acknowledge that they are solely responsible for the ownership, management, operation, and legal compliance of their Listings. 15.3 Renter Indemnification Each Renter further agrees to defend, indemnify, and hold harmless Shanty BB and the Released Parties from and against any claims arising out of or relating to: damage caused to any Property or Equipment; injury caused to other persons; violations of applicable laws; misuse of the Property or Equipment; unauthorized occupants or Guests; environmental damage; littering or illegal disposal of waste; hunting, fishing, boating, ATV, snowmobile, or firearm violations; failure to follow Host Rules; or any conduct occurring during the Booking. Renters remain responsible for the actions of all Guests, invitees, minors, animals, and any other individuals they permit onto the Property. 15.4 Duty to Cooperate A User subject to an indemnification obligation shall promptly cooperate with Shanty BB in the defense of any covered claim. Shanty BB reserves the right, at its own expense, to participate in or assume the defense of any matter subject to indemnification. The User shall remain responsible for all indemnification obligations regardless of whether Shanty BB elects to participate in the defense. No indemnifying User may settle any claim affecting Shanty BB without Shanty BB's prior written consent, which shall not be unreasonably withheld. 15.5 Survival The indemnification obligations contained in this Section shall survive: completion of any Booking; cancellation of any Booking; termination of a User's Account; termination of these Terms; and discontinuation of the Platform. These obligations continue until all applicable claims have been fully resolved. 15.6 No Limitation The indemnification obligations contained in this Section are separate from, and in addition to: the assumption of risk provisions; the release of liability provisions; the limitation of liability provisions; and any other remedies available to Shanty BB under these Terms or applicable law. Nothing contained in this Section limits any legal rights or remedies otherwise available to Shanty BB. 15.7 User Acknowledgement By creating an Account, publishing a Listing, making or accepting a Booking, or otherwise using the Platform, each User acknowledges and agrees that: They are legally responsible for their own conduct and the conduct of those for whom they are responsible. They will defend, indemnify, and hold harmless Shanty BB and the Released Parties for claims arising from their acts or omissions as provided in this Section. Their indemnification obligations are independent of any insurance coverage and may apply even if insurance is unavailable or insufficient. These obligations survive the termination of these Terms, the completion or cancellation of a Booking, and the closure of their Account. 16. Insurance Shanty BB is an online marketplace that connects Hosts and Renters. Except where expressly stated in writing, Shanty BB does not provide insurance coverage for Listings, Properties, Equipment, Users, or Bookings. Each User is solely responsible for determining whether adequate insurance coverage exists for their activities and for obtaining any additional insurance they deem appropriate. 16.1 Host Insurance Responsibilities Hosts are solely responsible for maintaining any insurance they deem appropriate for their Listings, including any Property, Equipment, vehicles, structures, or other assets made available through the Platform. Depending upon the nature of the Listing, Hosts are encouraged to maintain insurance such as: Homeowner's insurance; Landowner liability insurance; Commercial general liability insurance; Property insurance; Equipment insurance; Watercraft insurance; Snowmobile insurance; ATV or UTV insurance; Business insurance; Umbrella liability insurance; and Any other coverage appropriate for the Host's activities. Hosts are solely responsible for verifying that their insurance policies permit short-term rentals or commercial use where applicable. 16.2 Renter Insurance Responsibilities Renters are solely responsible for obtaining any insurance they consider appropriate before participating in activities arranged through the Platform. Depending on the nature of the Booking, Renters may wish to obtain: Trip cancellation insurance; Travel insurance; Medical insurance; Personal liability insurance; Equipment insurance; Hunting or fishing liability coverage; Watercraft insurance; ATV or snowmobile insurance; or Other specialized recreational insurance. The decision to purchase insurance rests solely with the Renter. 16.3 No Insurance Verification Shanty BB does not verify: whether a Host maintains insurance; the amount or scope of any insurance coverage; the financial strength of any insurer; policy exclusions; policy limits; deductibles; or whether a particular claim will be covered. Users should independently verify any insurance coverage that may be important to their Booking. 16.4 No Guarantee of Coverage The existence of an insurance policy does not guarantee that: a claim will be covered; a policy limit will be sufficient; an insurer will defend a claim; an insurer will pay a claim; or a policy will remain in effect at the time of loss. Insurance determinations are made solely by the applicable insurance carrier under the terms of the applicable policy. 16.5 Claims Between Users Any insurance claim arising from a Booking shall be handled directly between the applicable User and the relevant insurance company. Shanty BB is not responsible for: filing insurance claims; adjusting claims; negotiating settlements; determining coverage; collecting insurance proceeds; or resolving disputes between insurers and Users. 16.6 Optional Insurance Products Shanty BB may, now or in the future, make optional insurance products, protection plans, damage protection programs, or similar services available through third-party providers. Unless expressly stated otherwise: participation in such programs is voluntary; such programs are governed by the terms of the applicable insurance provider or program administrator; and Shanty BB is not the insurer, underwriter, claims administrator, or guarantor of any insurance product offered through the Platform. 16.7 No Substitute for Safe Conduct Insurance does not eliminate the risks associated with outdoor recreation. Users remain solely responsible for: exercising reasonable care; complying with applicable laws; following Host Rules; properly using Property and Equipment; protecting themselves and others; and avoiding unsafe conduct. Nothing in this Section transfers responsibility for personal safety or legal compliance to Shanty BB. 16.8 User Acknowledgement By using the Platform, each User acknowledges and agrees that: Shanty BB is not an insurance company and does not provide insurance unless expressly stated in writing. Each User is solely responsible for obtaining any insurance they consider appropriate. Shanty BB does not verify or guarantee the existence, adequacy, or applicability of any insurance maintained by another User. Any insurance claims arising from a Booking shall be handled directly between the User and the applicable insurance provider. The absence of insurance does not increase or expand Shanty BB's liability under these Terms. 17. User Conduct 17.1 General Standard of Conduct Users shall use the Platform in a lawful, respectful, honest, and responsible manner at all times. Each User is solely responsible for their conduct, communications, User Content, Listings, Bookings, and all activities occurring through their Account. Users shall not engage in any conduct that interferes with the safe, lawful, secure, or intended operation of the Platform. 17.2 Compliance with Applicable Law Users shall comply with all Applicable Laws while accessing or using the Platform and while participating in any Booking or activity arising from the Platform. Compliance includes all federal, state, provincial, tribal, territorial, and local laws, regulations, ordinances, court orders, licensing requirements, and governmental directives applicable to the User or the activity involved. 17.3 Prohibited Conduct Without limiting any other provision of these Terms, Users shall not: violate Applicable Law; violate these Terms; violate any lawful Host Rule; provide false, misleading, deceptive, or fraudulent information; impersonate another person or entity; create multiple Accounts to evade enforcement actions; allow another person to use their Account without authorization; circumvent identity verification or security measures; manipulate Listings, Bookings, pricing, availability, ratings, or reviews; interfere with another User's use of the Platform; harass, threaten, intimidate, stalk, or abuse another User; publish defamatory, obscene, hateful, discriminatory, or unlawful content; infringe any intellectual property or privacy rights; transmit spam, unsolicited advertising, or unauthorized commercial communications; upload malware, viruses, malicious code, or harmful software; interfere with Platform security or operations; attempt unauthorized access to any account, system, or data; scrape, harvest, copy, or systematically collect Platform data without written authorization; reverse engineer, decompile, disassemble, or attempt to discover the source code of the Platform except where expressly permitted by Applicable Law; interfere with payment processing or attempt to avoid applicable Service Fees; encourage another User to violate these Terms; engage in fraudulent chargebacks or payment abuse; use the Platform for any illegal, deceptive, or unauthorized purpose; or assist or encourage another person to engage in any prohibited conduct. 17.4 Platform Integrity Users shall not take any action that could reasonably interfere with the integrity, security, availability, reputation, or proper functioning of the Platform. Without limitation, Users shall not: interfere with Platform operations; overload Platform infrastructure; disrupt communications between Users; attempt to bypass Platform functionality; exploit software bugs or vulnerabilities; manipulate search results or rankings; artificially inflate ratings or reviews; create fake Bookings or Listings; or engage in conduct intended to damage the reputation or operation of Shanty BB or its Users through fraudulent or deceptive means. 17.5 Respectful Communications Users shall communicate with one another honestly, professionally, and respectfully. Threatening, abusive, discriminatory, harassing, defamatory, obscene, or unlawful communications are prohibited whether occurring through Platform messaging or arising from a Booking facilitated by the Platform. 17.6 User Responsibility Each User remains solely responsible for: their conduct; the conduct of persons using their Account with permission; User Content they submit; information they provide; Listings they publish; Bookings they make or accept; communications with other Users; and compliance with these Terms and Applicable Law. Nothing contained in these Terms transfers responsibility for User conduct to Shanty BB. 17.7 Reporting Misconduct Users are encouraged to promptly report suspected fraud, illegal activity, safety concerns, intellectual property violations, security incidents, or other violations of these Terms to Shanty BB. Shanty BB may investigate reported violations but has no obligation to investigate every report or to take any particular enforcement action. 17.8 Enforcement Violation of this Section constitutes a material breach of these Terms. Without limiting any other rights or remedies available under these Terms or Applicable Law, Shanty BB may, in its sole discretion: issue warnings; require corrective action; remove Listings or User Content; suspend or terminate Accounts; cancel pending Bookings; delay or withhold payouts where permitted; restrict Platform functionality; report suspected unlawful conduct to appropriate authorities; or take any other action reasonably necessary to protect Users, preserve Platform integrity, reduce legal or financial risk, or comply with Applicable Law. The exercise or failure to exercise any enforcement right shall not create any duty on the part of Shanty BB to monitor, supervise, investigate, or control the conduct of any User. 18. Content and Intellectual Property 18.1 Ownership of the Platform The Platform, including its software, source code, object code, databases, user interface, design, layout, functionality, text, graphics, photographs, videos, audio, logos, icons, trademarks, service marks, trade names, branding, artwork, compilations, documentation, and all other content made available by Shanty BB (collectively, the "Platform Content") is owned by or licensed to Shanty BB and is protected by applicable copyright, trademark, trade dress, patent, trade secret, and other intellectual property laws. Except as expressly permitted by these Terms, no right, title, or interest in the Platform Content is transferred to any User. 18.2 Shanty BB Intellectual Property The names Shanty BB, Shanty BnB, Shanty BB, Shanty BB.com, together with all associated logos, graphics, slogans, branding, designs, domain names, trade dress, service marks, trademarks, whether registered or unregistered, and all associated goodwill, are and shall remain the exclusive property of Shanty BB or its licensors. Nothing contained in these Terms grants any User any ownership interest or license to use Shanty BB's intellectual property except as expressly authorized in writing. Unauthorized use may violate copyright, trademark, unfair competition, and other applicable laws. 18.3 User Content Users retain ownership of photographs, videos, text, reviews, descriptions, messages, logos, graphics, comments, ratings, listings, and any other content they submit, upload, publish, transmit, or otherwise make available through the Platform ("User Content"). Users are solely responsible for all User Content they provide. By submitting User Content, the User represents and warrants that: they own or control all necessary rights; the User Content does not infringe any third-party rights; the User Content is accurate to the best of their knowledge; the User Content complies with these Terms and Applicable Law; and they possess all necessary permissions from any identifiable persons appearing in photographs or videos where required by Applicable Law. 18.4 License Granted to Shanty BB By submitting User Content, each User grants Shanty BB a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, fully paid, transferable, sublicensable license to use, host, store, reproduce, copy, modify, adapt, translate, publish, distribute, publicly display, publicly perform, transmit, create derivative works from, and otherwise exploit such User Content in any media now known or later developed. This license includes, without limitation, use for: operating the Platform; displaying Listings; search functionality; advertising; marketing; promotional materials; social media; investor presentations; analytics; training internal systems; improving Platform functionality; customer support; legal compliance; and any other lawful business purpose related to the operation or promotion of Shanty BB. No compensation shall be owed to any User for such use. 18.5 Artificial Intelligence Users acknowledge that Shanty BB may utilize artificial intelligence, machine learning, automated systems, or similar technologies to assist in generating, organizing, editing, translating, summarizing, enhancing, moderating, recommending, or displaying Listings, descriptions, images, communications, search results, customer support responses, or other Platform Content. Users remain solely responsible for reviewing all content associated with their Listings before publication. Shanty BB makes no warranty regarding the accuracy, completeness, originality, legality, or suitability of AI-assisted content. 18.6 Reviews and Feedback Users may voluntarily submit reviews, ratings, suggestions, recommendations, feature requests, comments, or other feedback. All feedback may be used by Shanty BB without restriction and without compensation. Users grant Shanty BB a perpetual, irrevocable, royalty-free license to use, modify, reproduce, publish, and incorporate such feedback into the Platform or related services. 18.7 Restrictions Except as expressly permitted by these Terms or Applicable Law, Users shall not: copy Platform Content; reproduce Platform Content; distribute Platform Content; modify Platform Content; create derivative works from Platform Content; sell Platform Content; license Platform Content; scrape Platform Content; harvest Platform Content; reverse engineer Platform software; remove copyright notices; remove trademark notices; remove proprietary notices; use Shanty BB branding without written permission; register confusingly similar trademarks or domain names; or otherwise exploit Platform Content without authorization. 18.8 Copyright Complaints (DMCA) Shanty BB respects the intellectual property rights of others and expects Users to do the same. If a person believes that content available through the Platform infringes their copyright, they may submit a written notice identifying: the copyrighted work claimed to have been infringed; the allegedly infringing material; sufficient information to locate the material; contact information; a statement of good-faith belief that the use is unauthorized; a statement, under penalty of perjury, that the information is accurate and that the complaining party is authorized to act on behalf of the copyright owner; and the physical or electronic signature of the copyright owner or authorized representative. Shanty BB reserves the right to remove or disable access to allegedly infringing material, request additional information, notify the affected User, accept counter-notifications where applicable, and terminate the Accounts of repeat intellectual property infringers. 18.9 Trademark Complaints Any person believing that content available through the Platform infringes a trademark, service mark, trade name, or other proprietary branding rights may submit a written complaint to Shanty BB. Shanty BB reserves the right to investigate such complaints and remove or disable access to content that it reasonably believes infringes intellectual property rights or violates these Terms. 18.10 Reservation of Rights Except for the limited rights expressly granted under these Terms, Shanty BB reserves all rights, title, and interests in and to the Platform and all Platform Content. No license shall be implied by estoppel, waiver, course of dealing, or otherwise. Nothing contained in these Terms shall be interpreted as transferring ownership of any intellectual property belonging to Shanty BB or its licensors 19. Privacy 19.1 Privacy Policy The collection, use, storage, disclosure, retention, transfer, and protection of personal information by Shanty BB are governed by the Shanty BB Privacy Policy, which is incorporated into these Terms by reference. By accessing or using the Platform, creating an Account, submitting information, making or accepting a Booking, or otherwise using the Services, each User acknowledges that they have reviewed the Privacy Policy and consent to the collection, use, disclosure, storage, processing, and retention of information as described therein, to the extent permitted by Applicable Law. 19.2 Consent to Electronic Collection and Processing Users acknowledge that Shanty BB may collect, process, store, transmit, and use personal information, technical information, payment-related information, device information, communications, geolocation data where authorized, and other information necessary to operate, secure, improve, and administer the Platform. Such information may be processed by Shanty BB or its authorized service providers in accordance with the Privacy Policy and Applicable Law. 19.3 Third-Party Service Providers Shanty BB may utilize third-party providers to perform services including, without limitation: payment processing; identity verification; fraud prevention; cloud hosting; customer support; communications; analytics; mapping and location services; marketing; security monitoring; and other services necessary to operate the Platform. Users acknowledge that information may be shared with such providers as described in the Privacy Policy and subject to appropriate contractual or legal safeguards where required by Applicable Law. 19.4 User Responsibility Users are responsible for maintaining the confidentiality of their Account credentials and for protecting access to their devices and Accounts. Users shall promptly notify Shanty BB of any suspected unauthorized access, security breach, Account compromise, or misuse of their credentials. 19.5 Changes to the Privacy Policy Shanty BB reserves the right to modify its Privacy Policy from time to time. Continued use of the Platform following the effective date of an updated Privacy Policy constitutes acknowledgment of the revised Privacy Policy to the extent permitted by Applicable Law. Nothing contained in this Section limits any rights or obligations established by the Privacy Policy or Applicable Law. 20. Third-Party Services Shanty BB may utilize, integrate with, or provide access to third-party products, services, software, websites, applications, and providers in connection with the operation of the Platform. These third-party services are provided for the convenience of Users and may be subject to separate terms, conditions, and privacy policies established by the applicable third-party provider. By using the Platform, Users acknowledge that certain features or services may require interaction with third-party providers. 20.1 Third-Party Providers Third-party providers may include, without limitation: Payment processors; Identity verification providers; Insurance providers; Mapping and navigation services; Geolocation services; Email and communication providers; Cloud hosting providers; Analytics providers; Customer support providers; Government databases; Social media platforms; Advertising partners; and Other vendors or service providers used to operate or improve the Platform. Shanty BB may change, add, or discontinue third-party providers at any time without prior notice. 20.2 Independent Services Each third-party provider operates independently of Shanty BB. Shanty BB does not own, operate, supervise, or control the products or services provided by any third party and is not responsible for their actions, omissions, policies, availability, security, or performance. Use of any third-party service is solely at the User's own risk. 20.3 Third-Party Terms Certain features of the Platform may require Users to agree to additional terms and conditions imposed by third-party providers. Users are solely responsible for reviewing and complying with those separate agreements. In the event of a conflict between these Terms and a third-party provider's terms, the third-party provider's terms shall govern only with respect to that provider's services. 20.4 Payment Processing Payments made through the Platform may be processed by independent third-party payment processors. Shanty BB is not responsible for: payment processing delays; payment failures; banking errors; charge processing errors; fraud committed through third-party payment systems; payment processor outages; or financial institution policies. Payment disputes relating to processing services may be subject to the policies of the applicable payment processor. 20.5 Third-Party Websites and Links The Platform may contain links to third-party websites or applications. Such links are provided solely for convenience and do not constitute an endorsement, sponsorship, recommendation, or approval by Shanty BB. Shanty BB is not responsible for the availability, content, security, products, services, or practices of any third-party website or application. Users access third-party websites entirely at their own risk. 20.6 Third-Party Content Information obtained from third-party providers, including maps, weather information, property data, travel information, or similar content, is provided for general informational purposes only. Shanty BB does not guarantee the accuracy, completeness, timeliness, or reliability of any third-party information. Users should independently verify all information before relying upon it. 20.7 No Warranty Shanty BB makes no representation or warranty regarding: the availability of third-party services; the security of third-party systems; the accuracy of third-party information; uninterrupted operation of third-party services; compatibility with User devices; or the performance or quality of services provided by any third party. 20.8 Limitation of Responsibility To the fullest extent permitted by applicable law, Shanty BB shall not be liable for any loss, damage, injury, delay, interruption, expense, or claim arising from: acts or omissions of third-party providers; interruptions of third-party services; errors or inaccuracies in third-party information; security incidents affecting third-party systems; failures of third-party software or hardware; or any dispute between a User and a third-party provider. 20.9 Reservation of Rights Shanty BB reserves the right to add, remove, replace, suspend, or modify any third-party service or integration at any time without liability to any User. The availability of any particular third-party service shall not be considered a guarantee of continued availability. 20.10 User Acknowledgement By using the Platform, each User acknowledges and agrees that: Certain Platform features rely upon independent third-party service providers. Shanty BB does not own or control those third-party providers. Third-party services may be subject to separate terms, conditions, and privacy policies. Users assume the risks associated with using third-party services connected to the Platform. Shanty BB shall not be responsible for the acts, omissions, products, services, or performance of third-party providers except as required by applicable law. 21. Compliance with Laws 21.1 General Compliance Each User is solely responsible for complying with all Applicable Laws relating to their access to or use of the Platform, any Listing, any Booking, any Property, any Equipment, and all activities arising from or relating to the Services. Nothing contained in these Terms shall be interpreted as legal advice or as a representation by Shanty BB that any User's activities comply with Applicable Law. 21.2 User Responsibility Without limiting the generality of Section 21.1, each User is solely responsible for obtaining and maintaining all licenses, permits, registrations, certifications, governmental approvals, insurance, and other legal authorizations required for their activities. Users are also solely responsible for understanding and complying with all Applicable Laws relating to: property rentals; lodging; hunting; fishing; boating; ATV operation; snowmobile operation; firearms; recreational land use; wildlife; environmental protection; taxation; zoning; occupancy; business licensing; and any other legal requirements applicable to the User or the activity. 21.3 No Legal Compliance Guarantee Shanty BB does not investigate, monitor, verify, certify, inspect, or guarantee that any User, Listing, Property, Equipment, Booking, or activity complies with Applicable Law. Users acknowledge that legal requirements vary by jurisdiction and may change over time. Each User remains solely responsible for determining whether their activities are lawful before using the Platform. 21.4 Government Requests Shanty BB may cooperate with law enforcement agencies, regulatory authorities, courts, governmental entities, or other persons when Shanty BB reasonably believes such cooperation is appropriate or required by Applicable Law. To the fullest extent permitted by Applicable Law, Shanty BB may disclose User information, Booking information, payment information, communications, Listings, transaction records, or other information in response to: subpoenas; court orders; warrants; governmental investigations; regulatory inquiries; law enforcement requests; legal process; or any other request Shanty BB reasonably believes is authorized or required under Applicable Law. Nothing in this Section obligates Shanty BB to monitor User conduct or independently investigate potential legal violations. 21.5 Export Controls and Sanctions Users represent and warrant that they are not prohibited from using the Platform under Applicable Law, including applicable economic sanctions, export control laws, or other governmental restrictions. Users shall not use the Platform in any manner that violates such laws. 21.6 Reservation of Rights If Shanty BB reasonably believes that a User, Listing, Booking, Property, Equipment, or activity may violate Applicable Law or expose Shanty BB or its Users to legal, regulatory, financial, or reputational risk, Shanty BB may, in its sole discretion and without prior notice where permitted by Applicable Law: remove Listings; suspend or terminate Accounts; cancel pending Bookings; delay or withhold payouts; request additional documentation; restrict Platform functionality; report suspected violations to appropriate governmental authorities; or take any other action reasonably necessary to comply with Applicable Law or protect the Platform and its Users. The exercise or failure to exercise any right under this Section shall not create any duty on the part of Shanty BB to monitor, investigate, supervise, or enforce compliance with Applicable Law. 22. Dispute Resolution Shanty BB is committed to resolving disputes fairly, efficiently, and in good faith. Before initiating formal legal proceedings, Users agree to make reasonable efforts to resolve disputes through the procedures described in this Section. Nothing in this Section limits any rights that cannot be waived under applicable law. 22.1 Scope This Section applies to any dispute, claim, controversy, or cause of action arising out of or relating to: these Terms; the Platform; any Account; any Listing; any Booking; any Property or Equipment; payments or refunds; User Content; communications between Users; or any relationship between a User and Shanty BB. Disputes solely between a Host and a Renter may be subject to this Section to the extent Shanty BB's involvement is necessary to administer the Platform or enforce these Terms. 22.2 Good Faith Resolution Before filing any lawsuit or commencing arbitration, the parties agree to first attempt to resolve the dispute through good-faith negotiations. A User initiating a dispute shall submit written notice to Shanty BB describing: the nature of the dispute; the relevant facts; the requested resolution; and any supporting documentation reasonably available. Shanty BB will make reasonable efforts to review and respond within a commercially reasonable time. 22.3 Platform Assistance Where appropriate, Shanty BB may, but is not obligated to: facilitate communication between Users; review relevant Booking information; review Platform records; assist in resolving payment issues; provide information regarding applicable Platform policies; or suggest a mutually acceptable resolution. Shanty BB acts solely as a neutral marketplace administrator and is not acting as a judge, arbitrator, mediator, attorney, or legal representative for any User. 22.4 Independent Resolution Between Users Hosts and Renters are encouraged to resolve disputes directly whenever reasonably possible. Nothing in these Terms prevents Users from voluntarily negotiating mutually acceptable resolutions, provided such agreements do not violate these Terms or applicable law. 22.5 Preservation of Evidence Users involved in a dispute agree to preserve all information reasonably relevant to the dispute, including: photographs; videos; communications; payment records; receipts; inspection reports; permits or licenses; and any other documentation that may assist in resolving the matter. 22.6 Time Limitation To the fullest extent permitted by applicable law, any claim arising out of or relating to these Terms or the Platform must be commenced within one (1) year after the claim arises or such claim shall be permanently barred. This limitation does not apply where prohibited by applicable law. 22.7 Equitable Relief Nothing contained in this Section prevents Shanty BB from seeking temporary, preliminary, or permanent injunctive relief, specific performance, or other equitable remedies where necessary to: protect intellectual property; prevent fraud; preserve Platform security; enforce confidentiality obligations; prevent unauthorized access to the Platform; or protect Users from imminent harm. 22.8 Costs Unless otherwise required by applicable law or awarded by an arbitrator or court of competent jurisdiction, each party shall bear its own attorneys' fees, costs, and expenses incurred in connection with any dispute. 22.9 Survival The dispute resolution procedures contained in this Section survive: completion of any Booking; cancellation of any Booking; termination of a User's Account; termination of these Terms; and discontinuation of the Platform. 22.10 User Acknowledgement By using the Platform, each User acknowledges and agrees that: They will make a good-faith effort to resolve disputes before initiating formal legal proceedings. Shanty BB may assist in resolving disputes but is not obligated to act as a mediator, arbitrator, or legal representative. Hosts and Renters remain primarily responsible for resolving disputes arising from their Booking. Certain disputes may be subject to the arbitration provisions contained in Section 23. These dispute resolution procedures are intended to promote efficient, fair, and cost-effective resolution of disputes. 23. Arbitration Agreement (Opt-Out) PLEASE READ THIS SECTION CAREFULLY. EXCEPT AS PROVIDED BELOW, THIS SECTION REQUIRES THAT MOST DISPUTES BETWEEN YOU AND SHANTYBB BE RESOLVED THROUGH BINDING INDIVIDUAL ARBITRATION RATHER THAN IN COURT. BY ACCEPTING THESE TERMS, YOU AGREE TO WAIVE THE RIGHT TO A JURY TRIAL AND, EXCEPT AS OTHERWISE PROVIDED HEREIN, TO HAVE DISPUTES RESOLVED IN A COURT OF LAW. 23.1 Agreement to Arbitrate To the fullest extent permitted by applicable law, any dispute, claim, controversy, or cause of action arising out of or relating to: these Terms; the Platform; any Account; any Listing; any Booking; payments or refunds; User Content; the relationship between a User and Shanty BB; or any use of the Platform, shall be resolved exclusively through final and binding arbitration, except as expressly provided in these Terms. 23.2 Scope of Arbitration This Arbitration Agreement applies to claims arising under: contract; tort (including negligence); statute; fraud; misrepresentation; consumer protection laws; equitable claims; and any other legal or equitable theory. Questions regarding the interpretation, applicability, enforceability, or scope of this Arbitration Agreement shall be decided by the arbitrator except where applicable law requires otherwise. 23.3 Informal Resolution Required Before commencing arbitration, the parties shall first comply with the dispute resolution procedures contained in Section 22. Neither party may initiate arbitration until the good-faith resolution process has been completed or a reasonable opportunity to resolve the dispute has elapsed. 23.4 Arbitration Rules Unless otherwise required by applicable law, arbitration shall be administered by a nationally recognized arbitration provider selected by Shanty BB and conducted in accordance with that provider's consumer arbitration rules then in effect. The arbitrator shall have authority to award any remedy available under applicable law that is not otherwise limited by these Terms. 23.5 Arbitration Location Unless otherwise required by applicable law or agreed by the parties, arbitration may be conducted: in the county or state where the User resides; in Plymouth County, Massachusetts; by videoconference; by telephone; or solely upon written submissions where permitted by the applicable arbitration rules. The arbitrator shall determine the most appropriate format after considering the nature of the dispute and the applicable arbitration rules. 23.6 Individual Arbitration Only All arbitrations shall be conducted solely on an individual basis. No arbitration may be consolidated with another arbitration except where all affected parties expressly agree in writing. Nothing in this Section alters the separate Class Action Waiver set forth in Section 24. 23.7 Exceptions This Arbitration Agreement does not prevent either party from: filing an action in small claims court where jurisdictional requirements are satisfied; seeking temporary or permanent injunctive relief to protect intellectual property, confidential information, or Platform security; seeking emergency equitable relief where immediate action is necessary to prevent irreparable harm; or pursuing any claim that applicable law expressly prohibits from being submitted to arbitration. 23.8 Costs and Fees Arbitration fees shall be allocated in accordance with the applicable arbitration rules and governing law. Each party shall generally bear its own attorneys' fees and costs unless otherwise required by law or awarded by the arbitrator. 23.9 Right to Opt Out A User may opt out of this Arbitration Agreement by providing written notice to Shanty BB within thirty (30) days after: creating an Account; or first accepting these Terms following a material revision to this Section. The opt-out notice must: clearly state the User's intent to opt out of arbitration; include the User's full legal name; include the email address associated with the Account; include any additional identifying information reasonably requested to verify the Account; and be submitted in accordance with the notice procedures described in Section 26 (Notices). A valid opt-out affects only this Arbitration Agreement. All remaining provisions of these Terms shall remain in full force and effect. 23.10 Severability If any provision of this Arbitration Agreement is determined to be invalid or unenforceable, the remaining provisions shall remain enforceable to the fullest extent permitted by applicable law. If the prohibition on class or representative proceedings contained in Section 24 is held unenforceable for a particular claim, then that claim shall proceed in a court of competent jurisdiction, and the remaining claims shall continue to be subject to arbitration where permitted by law. 23.11 Survival This Arbitration Agreement survives: completion or cancellation of any Booking; termination of a User's Account; termination of these Terms; and discontinuation of the Platform. 23.12 User Acknowledgement By creating an Account or otherwise using the Platform, each User acknowledges and agrees that: They have carefully read and understand this Arbitration Agreement. Except where otherwise provided, disputes with Shanty BB will be resolved through binding individual arbitration rather than court proceedings. They understand that, by not opting out within thirty (30) days, they waive the right to have covered disputes decided by a judge or jury. They retain the right to opt out of arbitration by timely following the procedures described in this Section. This Arbitration Agreement survives the termination of these Terms and the User's relationship with Shanty BB. 24. Class Action Waiver PLEASE READ THIS SECTION CAREFULLY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND SHANTYBB AGREE THAT ANY DISPUTE SHALL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS AND NOT AS PART OF A CLASS, COLLECTIVE, CONSOLIDATED, MASS, OR REPRESENTATIVE ACTION. 24.1 Waiver of Class Actions To the fullest extent permitted by applicable law, each User agrees that any dispute, claim, or cause of action arising out of or relating to: these Terms; the Platform; any Account; any Listing; any Booking; payments or refunds; User Content; or any relationship between the User and Shanty BB, shall be brought solely in the User's individual capacity. Users waive any right to participate as: a class representative; a class member; a private attorney general; a representative plaintiff; or a participant in any collective, consolidated, coordinated, or mass proceeding. 24.2 No Consolidation Except where expressly required by applicable law, no arbitrator or court shall have authority to: consolidate claims involving multiple Users; hear class or representative claims; preside over a class, collective, coordinated, or mass proceeding; or award relief on behalf of persons who are not parties to the individual dispute. Each dispute shall be resolved independently. 24.3 Individual Relief Only Any relief awarded in arbitration or court shall be limited to the individual User bringing the claim. No arbitrator or court may award relief that affects or benefits individuals who are not parties to the dispute except where required by applicable law. 24.4 Applicability This Class Action Waiver applies regardless of whether a dispute is resolved through: arbitration; small claims court; litigation where arbitration is unavailable; or any other legally authorized dispute resolution process. 24.5 Severability If any portion of this Class Action Waiver is determined to be invalid or unenforceable with respect to a particular claim or remedy, that portion shall be severed only to the extent necessary. The remaining provisions of these Terms shall remain in full force and effect. If applicable law requires that a class or representative claim proceed, only that claim shall proceed in a court of competent jurisdiction, and all remaining claims shall continue to be governed by these Terms, including the Arbitration Agreement set forth in Section 23, to the fullest extent permitted by law. 24.6 Survival This Class Action Waiver survives: completion or cancellation of any Booking; termination of a User's Account; termination of these Terms; and discontinuation of the Platform. 24.7 User Acknowledgement By creating an Account or otherwise using the Platform, each User acknowledges and agrees that: They are waiving the right to participate in any class, collective, consolidated, coordinated, mass, or representative action against Shanty BB to the fullest extent permitted by applicable law. Any dispute with Shanty BB must be pursued solely on an individual basis unless applicable law provides otherwise. This waiver is a material and essential part of these Terms and the agreement between the User and Shanty BB. If any portion of this Section is found unenforceable, the remaining provisions shall continue in effect to the fullest extent permitted by law. 25. Governing Law & Venue These Terms and any dispute arising out of or relating to the Platform shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of law principles, except to the extent that applicable federal law or non-waivable law requires otherwise. 25.1 Governing Law These Terms, the Platform, all Listings, Bookings, Accounts, and all disputes arising out of or relating to the relationship between a User and Shanty BB shall be governed by the laws of the Commonwealth of Massachusetts and applicable federal law. Nothing contained in these Terms shall deprive a User of any rights or protections that cannot be waived under applicable law. 25.2 Venue for Non-Arbitrable Claims To the extent a dispute is not subject to the Arbitration Agreement contained in Section 23, or where arbitration is unavailable or unenforceable, the parties agree that exclusive jurisdiction and venue shall lie in the state or federal courts located within the Commonwealth of Massachusetts. Each User irrevocably submits to the personal jurisdiction of those courts for purposes of resolving such disputes. 25.3 Small Claims Court Nothing contained in these Terms prevents either party from pursuing an eligible claim in a court of competent small claims jurisdiction where such action is permitted by applicable law and consistent with Section 23 (Arbitration Agreement). 25.4 Injunctive Relief Nothing contained in these Terms limits Shanty BB's right to seek temporary, preliminary, or permanent injunctive relief, specific performance, or other equitable remedies in any court of competent jurisdiction where necessary to: protect intellectual property; preserve confidential information; prevent unauthorized access to the Platform; prevent fraud; enforce these Terms; or protect the safety and security of Users or the Platform. Seeking such relief shall not constitute a waiver of any right to compel arbitration for any remaining claims. 25.5 Waiver of Jury Trial To the fullest extent permitted by applicable law, and except where prohibited by law, each User knowingly, voluntarily, and irrevocably waives any right to a trial by jury for any dispute arising out of or relating to these Terms or the Platform that is permitted to proceed in court. This waiver does not limit any rights that cannot legally be waived. 25.6 Compliance with Applicable Law If any provision of these Terms conflicts with mandatory provisions of applicable law, only the minimum portion necessary to comply with such law shall be modified or deemed unenforceable. The remaining provisions of these Terms shall remain in full force and effect. 25.7 Survival This Section survives: completion or cancellation of any Booking; termination of a User's Account; termination of these Terms; and discontinuation of the Platform. 25.8 User Acknowledgement By creating an Account or otherwise using the Platform, each User acknowledges and agrees that: These Terms are governed by the laws of the Commonwealth of Massachusetts, except where applicable law requires otherwise. Disputes not subject to arbitration shall be brought exclusively in the courts specified in this Section. They consent to the jurisdiction of those courts for disputes properly brought before them. They knowingly waive the right to a jury trial to the fullest extent permitted by applicable law. This Section is intended to provide consistency, predictability, and efficient resolution of disputes while preserving any rights that cannot legally be waived. 26. Notices Users consent to receive communications from Shanty BB electronically. Except where applicable law requires otherwise, all notices, disclosures, agreements, updates, and other communications may be provided electronically and shall satisfy any legal requirement that such communications be in writing. 26.1 Notices from Shanty BB Shanty BB may provide notices to Users by any commercially reasonable method, including: email to the address associated with the User's Account; in-Platform notifications; text message or SMS, where the User has consented; postings on the Platform; publication on the Shanty BB website; or any other contact information provided by the User. Notices are deemed given when transmitted or made available through the applicable communication method. 26.2 Notices from Users Except where these Terms specify another method, Users may provide legal notices to Shanty BB by: certified or registered United States Mail; nationally recognized overnight courier; email to the legal contact designated by Shanty BB; or any other method expressly authorized in writing by Shanty BB. Legal notices should contain sufficient information to identify the User, describe the subject of the notice, and provide contact information for a response. 26.3 Duty to Maintain Accurate Contact Information Each User is solely responsible for maintaining current and accurate: name; mailing address; email address; telephone number; and other Account information. A User's failure to maintain accurate contact information shall not invalidate any notice properly sent by Shanty BB. 26.4 Legal Process Nothing in these Terms limits Shanty BB's ability to respond to: subpoenas; court orders; search warrants; governmental requests; regulatory investigations; or other lawful legal process. Shanty BB may disclose information where required or permitted by applicable law. 26.5 Electronic Communications Consent By creating an Account or otherwise using the Platform, each User: consents to receive electronic communications from Shanty BB; agrees that electronic records and signatures satisfy any legal requirement for written communications or signatures, to the fullest extent permitted by applicable law; and acknowledges responsibility for reviewing communications sent to the contact information associated with their Account. 26.6 Changes to Contact Information Shanty BB may update its contact information, including mailing addresses or designated email addresses, by posting the updated information on the Platform or by providing notice in accordance with this Section. Users are responsible for using the most current contact information published by Shanty BB. 26.7 Survival This Section survives: completion or cancellation of any Booking; termination of a User's Account; termination of these Terms; and discontinuation of the Platform. 26.8 User Acknowledgement By creating an Account or otherwise using the Platform, each User acknowledges and agrees that: Electronic communications satisfy legal requirements for written notice to the fullest extent permitted by applicable law. Users are responsible for maintaining accurate contact information. Notices properly delivered in accordance with this Section are deemed received even if the User fails to read them. Shanty BB may rely upon the contact information associated with the User's Account unless updated by the User. 27. Termination 27.1 Right to Suspend or Terminate Shanty BB may, at any time and in its sole discretion, with or without prior notice, suspend, restrict, deactivate, or permanently terminate any Account, Listing, Booking, User Content, or access to all or any portion of the Platform if Shanty BB reasonably believes such action is appropriate to: enforce these Terms; protect the Platform or its Users; prevent fraud, abuse, or unlawful activity; reduce legal, financial, operational, or reputational risk; comply with Applicable Law or requests from governmental authorities; protect the security or integrity of the Platform; or for any other legitimate business reason. Except where prohibited by Applicable Law, Shanty BB shall have no obligation to provide advance notice or an explanation before taking action under this Section. 27.2 Termination by Users Users may terminate their Account at any time by following the account closure procedures made available through the Platform or by contacting Shanty BB. Termination of an Account does not automatically cancel pending Bookings, eliminate outstanding payment obligations, or release any obligation arising before the effective date of termination. 27.3 Effect of Termination Upon suspension or termination: all licenses granted to the User under these Terms immediately terminate; the User shall immediately cease using the Platform; Listings may be removed or unpublished; pending Bookings may be cancelled or completed at Shanty BB's sole discretion; User Content may be removed, retained, or archived as permitted by these Terms, the Privacy Policy, and Applicable Law; unpaid balances, fees, refunds, chargebacks, reimbursements, or other financial obligations shall remain enforceable; and Shanty BB may take any additional action reasonably necessary to protect the Platform, its Users, or comply with Applicable Law. Termination shall not affect rights or obligations that accrued before termination. 27.4 Survival The provisions of these Terms that by their nature should survive suspension, expiration, or termination shall remain in full force and effect, including, without limitation, provisions relating to: payment obligations; taxes; intellectual property; User Content licenses; disclaimers; assumption of risk; releases; limitations of liability; indemnification; dispute resolution; arbitration; class action waiver; governing law; jurisdiction; enforcement rights; and any other provision intended to survive termination. 27.5 No Liability for Termination To the fullest extent permitted by Applicable Law, Shanty BB shall not be liable to any User or third party for any suspension, restriction, removal of Listings or User Content, cancellation of Bookings, withholding of payouts where permitted by these Terms, or termination of access to the Platform undertaken in good faith pursuant to these Terms or Applicable Law. 27.6 Reservation of Rights The exercise or failure to exercise any right under this Section shall not: constitute a waiver of any other right or remedy; create any duty to monitor or supervise Users; require Shanty BB to terminate similarly situated Users; establish any precedent regarding future enforcement decisions; or limit any other rights or remedies available under these Terms or Applicable Law. Shanty BB expressly reserves the right to pursue any additional contractual, equitable, or legal remedy available under Applicable Law. 28. Survival Any provision of these Terms that, by its nature or purpose, should reasonably survive the completion of a Booking, the termination of a User's Account, or the termination of these Terms shall remain in full force and effect to the fullest extent permitted by applicable law. Without limiting the foregoing, the provisions identified in this Section shall survive termination. 28.1 Surviving Provisions The following Sections shall survive the completion or cancellation of a Booking, termination of a User's Account, termination of these Terms, and discontinuation of the Platform: Section 2 – Definitions, to the extent necessary to interpret surviving provisions; Section 10 – Payments, Fees, and Payouts, with respect to outstanding financial obligations; Section 12 – Assumption of Risk; Section 13 – Release of Liability; Section 14 – Limitation of Liability; Section 15 – Indemnification; Section 18 – Content & Intellectual Property; Section 19 – Privacy, to the extent applicable to retained information; Section 21 – Compliance with Laws; Section 22 – Dispute Resolution; Section 23 – Arbitration Agreement (Opt-Out); Section 24 – Class Action Waiver; Section 25 – Governing Law & Venue; Section 26 – Notices, where required to resolve surviving obligations; This Section 28 – Survival; and Any other provision that, by its express terms or nature, is intended to survive termination. 28.2 Outstanding Obligations Termination of a User's Account, completion or cancellation of a Booking, or termination of these Terms shall not affect: outstanding payment obligations; refund obligations; indemnification obligations; legal claims that accrued before termination; obligations relating to intellectual property; confidentiality obligations, where applicable; tax obligations; record retention requirements; or any other rights or obligations that accrued prior to termination. 28.3 Enforcement After Termination Shanty BB retains the right to investigate, enforce, defend, or pursue claims relating to conduct that occurred before termination of a User's Account or these Terms. Termination does not waive, release, or impair any rights or remedies available to Shanty BB or any other User under these Terms or applicable law. 28.4 Retention of Records Following termination, Shanty BB may retain Account information, Booking records, payment records, communications, and other information as permitted by these Terms, the Privacy Policy, and applicable law for purposes including: legal compliance; dispute resolution; fraud prevention; tax and accounting obligations; enforcement of these Terms; security investigations; and legitimate business recordkeeping. 28.5 No Waiver The expiration or termination of these Terms shall not be interpreted as a waiver of any right, remedy, defense, claim, or cause of action that accrued prior to termination. 28.6 User Acknowledgement By creating an Account or otherwise using the Platform, each User acknowledges and agrees that: Certain obligations continue after the completion of a Booking, termination of an Account, or termination of these Terms. Termination does not eliminate accrued legal rights, responsibilities, or financial obligations. Shanty BB may continue to enforce surviving provisions of these Terms following termination. The provisions identified in this Section remain binding to the fullest extent permitted by applicable law. 29. Miscellaneous 29.1 Entire Agreement These Terms, together with the Privacy Policy, any policies expressly incorporated by reference, and any written agreements expressly entered into between Shanty BB and a User, constitute the entire agreement between the parties concerning the Platform and supersede all prior or contemporaneous understandings, agreements, negotiations, representations, warranties, and communications relating to the subject matter hereof. 29.2 Amendments Shanty BB may modify these Terms from time to time in accordance with Section 28. Except where Applicable Law requires otherwise, continued access to or use of the Platform after the effective date of revised Terms constitutes acceptance of those revisions. 29.3 Waiver No waiver of any provision of these Terms shall be effective unless made in writing by an authorized representative of Shanty BB. Any waiver of a breach or default shall not constitute a waiver of any prior, subsequent, or future breach or default. 29.4 Severability If any provision of these Terms is determined by a court or arbitrator of competent jurisdiction to be invalid, illegal, unenforceable, or void, that provision shall be enforced to the maximum extent permitted by Applicable Law, and the remaining provisions shall remain in full force and effect. 29.5 Interpretation Headings are provided solely for convenience and shall not affect the interpretation of these Terms. Words such as "including," "includes," and "include" shall be interpreted to mean "including without limitation." The singular includes the plural and vice versa where the context requires. References to any gender include all genders. 29.6 Assignment Users may not assign, transfer, delegate, sublicense, or otherwise dispose of any rights or obligations under these Terms without the prior written consent of Shanty BB. Shanty BB may assign, transfer, delegate, or otherwise convey these Terms or any rights or obligations hereunder without restriction, including in connection with a merger, acquisition, sale of assets, financing, restructuring, or other corporate transaction. Any prohibited assignment by a User shall be void. 29.7 No Third-Party Beneficiaries Except as expressly provided in these Terms, nothing contained herein creates any third-party beneficiary rights. These Terms are solely for the benefit of Shanty BB and the applicable User. 29.8 Force Majeure Shanty BB shall not be liable for any delay, interruption, failure to perform, or inability to provide the Platform resulting from causes beyond its reasonable control, including: natural disasters; severe weather; floods; fires; pandemics; epidemics; war; terrorism; civil unrest; labor disputes; governmental actions; utility failures; internet outages; telecommunications failures; cyberattacks; denial-of-service attacks; software failures; third-party service interruptions; payment processor failures; or any other event beyond Shanty BB's reasonable control. 29.9 Relationship of the Parties Nothing contained in these Terms creates any partnership, joint venture, employment relationship, agency relationship, brokerage relationship, franchise relationship, fiduciary relationship, property management relationship, or similar legal relationship between Shanty BB and any User. Each User acts solely as an independent party. 29.10 Electronic Communications Users consent to receive notices, disclosures, agreements, records, receipts, and other communications electronically. Electronic communications satisfy any legal requirement that such communications be in writing to the fullest extent permitted by Applicable Law. 29.11 Electronic Signatures Users acknowledge that clicking "I Agree," creating an Account, submitting a Booking, accepting a Booking, electronically signing a document, or otherwise using the Platform constitutes an electronic signature having the same legal force and effect as a handwritten signature to the fullest extent permitted by Applicable Law. 29.12 No Reliance Each User acknowledges that they are entering into these Terms based solely upon the representations expressly contained herein. Users acknowledge that they have not relied upon any oral statement, advertisement, estimate, projection, promise, or representation not expressly contained in these Terms. 29.13 Cumulative Rights and Remedies All rights and remedies available to Shanty BB under these Terms, Applicable Law, or equity are cumulative and may be exercised independently or together. The exercise of one right or remedy shall not preclude the exercise of any other right or remedy. 29.14 Construction These Terms shall be interpreted fairly according to their plain meaning and shall not be construed against either party merely because one party drafted them. 29.15 Survival Any provision that by its nature is intended to survive expiration or termination of these Terms shall remain in full force and effect, including provisions relating to: payments; taxes; intellectual property; User Content; assumption of risk; releases; limitations of liability; indemnification; dispute resolution; arbitration; class action waiver; governing law; jurisdiction; enforcement; and all accrued rights and obligations. 29.16 Reservation of Rights Except as expressly provided in these Terms, Shanty BB reserves all rights not expressly granted. Updated contact information becomes effective upon publication unless otherwise stated. 30.7 Effective Date These Terms become effective on the date identified as the Effective Date displayed at the beginning of this Agreement and remain in effect until modified or replaced by Shanty BB in accordance with these Terms. 30.8 User Acknowledgement By creating an Account or otherwise using the Platform, each User acknowledges that they have: Read and understood these Terms of Service. Agreed to be legally bound by these Terms. Had the opportunity to review these Terms before using the Platform. Understood that use of the Platform constitutes acceptance of these Terms. Agreed that electronic acceptance of these Terms has the same force and effect as a handwritten signature, to the fullest extent permitted by applicable law.
